非宪法程序政权更迭下海外投资保护研究

【摘要】:20世纪90年代,中国开始鼓励有条件的企业开展海外投资活动。加入WTO后,中国明确提出“走出去”战略,进一步鼓励海外投资。海外投资使得中国投资者充分利用国内国外两种资源,带动国内产品出口,加快调整国内产业结构,增强企业国际竞争力,促进中国经济快速增长。近年来,中国海外投资速度明显加快,投资规模迅速扩大,投资领域不断增多。但在投资中面临的风险也不断显现,,不仅要应对商业风险,还要应对非商业风险。其中最令投资者担心的就是政治风险。特别是发生非宪法程序政权更迭,因为情况十分复杂,会造成难以想象的巨大损失,严重损害投资者和投资者母国的利益。而中国的海外投资很大一部分集中在发展中国家,这些发展中国国家政局不稳极易发生非宪法程序政权更迭。2012年2月15日,利比亚发生非宪法程序政权更迭,中资项目全部搁浅。据统计,仅就中国在利比亚承包的工程项目涉及金额就高达188亿美元。在多国部队空袭前,多数工地、营地遭遇袭击和抢劫,直接经济损失高达15亿人民币。此外还涉及大量的固定资产损失和垫付款损失等。在这种情况下,研究如何在非宪法程序政权更迭下保护中国的海外投资意义重大。 全文共分为四个部分。第一部分介绍海外投资中形成的法律关系及其一般性的保护方法。海外投资中形成的法律关系包括投资者母国与投资者之间形成的关系、东道国与投资者之间形成的关系以及东道国与投资者母国之间形成的关系;海外投资的一般性保护方法包括东道国的国内保护、投资者母国的国内保护和国际保护。第二部分介绍了非宪法程序政权更迭下海外投资保护的必要性。通过分析非宪法程序政权更迭的特殊性得出为何在这种情况下保护海外投资具有必要性。第三部分为非宪法程序政权更迭下保护海外投资的特别措施。因非宪法程序政权更迭将导致某些保护海外投资的一般性措施难以实施,笔者认为可以从预防性措施和救济性措施两方面对海外投资加以保护。第四部分为中国对非宪法程序政权更迭下海外投资保护的法律、实践以及完善建议。
[Abstract]:In the 1990 s, China began to encourage qualified enterprises to invest abroad. After joining WTO, China puts forward "go abroad" strategy explicitly, encourage overseas investment further. Overseas investment makes Chinese investors make full use of both domestic and foreign resources, promote domestic product exports, speed up the adjustment of domestic industrial structure, enhance the international competitiveness of enterprises, and promote the rapid growth of China's economy. In recent years, China's overseas investment has significantly accelerated, the scale of investment has expanded rapidly, and the number of investment areas has been increasing. But the risks in investment are also emerging, not only to deal with commercial risks, but also to deal with non-commercial risks. One of the biggest worries for investors is political risk. In particular, there has been an unconstitutional regime change, as the situation is so complex that it can cause unimaginable losses and seriously harm the interests of investors and their home countries. A large part of China's overseas investment is concentrated in developing countries, which are prone to political instability and unconstitutional regime change. On February 15, 2012, there was an unconstitutional regime change in Libya. All Chinese-funded projects have run aground. According to statistics, the Chinese contracted projects in Libya involved as much as $18.8 billion. Before the multinational air strikes, most sites were attacked and looted, resulting in direct economic losses of up to 1.5 billion yuan. In addition, it also involves a large number of loss of fixed assets and advances, and so on. In this case, it is important to study how to protect China's overseas investment under the change of non-constitutional regime. The full text is divided into four parts. The first part introduces the legal relationship formed in overseas investment and its general protection methods. The legal relationship formed in overseas investment includes the relationship between the home country of the investor and the investor, the relationship between the host country and the investor, and the relationship between the host country and the home country of the investor. The general protection methods of overseas investment include the domestic protection of the host country, the domestic protection of the investor's home country and the international protection. The second part introduces the necessity of overseas investment protection under the change of non-constitutional regime. By analyzing the particularity of regime change of non-constitutional procedure, it is concluded that it is necessary to protect overseas investment under such circumstances. The third part is the special measures to protect overseas investment under the change of non-constitutional regime. Because the change of non-constitutional regime will lead to the difficulty of carrying out some general measures to protect overseas investment, the author thinks that the overseas investment can be protected from two aspects: preventive measures and relief measures. The fourth part is China's laws, practices and suggestions on the protection of overseas investment under the change of non-constitutional regimes.
