【摘要】： 委托理财是中国资本市场的新生事物之一，其随着中国经济的腾飞和资本市场的壮大而不断发展。但是，正象资本市场的其他新生事物一样，委托理财也面临着新生的阵痛和成长的烦恼。一方面，由于委托方获取利润和受托方获得报酬的双重需要，委托理财的规模迅速发展；另一方面，由于中国资本市场本身的不成熟以及参与主体的素质不高，导致纠纷不断。而同时学界和司法界对于委托理财这一新生事物缺乏深入的研究和成熟的经验，因而对于其中的一些问题无法给出合理的解释和能够为公众所接受的法规或判例。这在一定程度上成为委托理财成为资本市场最混乱的一种投资手段的原因之一。因而，对于委托理财进行法律层面的分析，并给出适当可行的建议就成为本文所要达到的目的。本文除导言和结语之外，由我国委托理财的概况、委托理财的法律性质分析、法律规范和司法实践中对于委托理财相关争议问题处理的分析、规范委托理财的设想等四部分组成。对于委托理财进行了细致的法律层面的分析，提出了自己的一些看法和设想。我国委托理财的概况是对我国委托理财的介绍，指出了我国委托理财的现状和特点。通过对委托理财现状即规模大、主体多、缺乏必要监管的法律依据等的分析，总结出了委托理财的特点：委托理财的主要委托人为上市公司、主要的受托人为证券公司、委托理财的资金来源有违规嫌疑、保底条款普遍流行、规避法律现象普遍存在。这些内容的介绍为下文探讨委托理财的法律关系以及其他的法律层面分析奠定了实务的基础。委托理财的法律性质分析通过对委托理财和七种与之相关概念的比较分析，详细的说明了它们之间的联系和区别，，从而澄清了目前流行的将委托理财与七种概念中的一种或数种相混淆的误解，进而得出了委托理财是一种独立的法律关系的结论在此基础上，分析了委托理财的法律关系。本部分是本文的重点之一，所以花费笔墨颇多，主要原因在于目前无论是学术界还是司法实践界，普遍存在将委托理财往《合同法》中的有名合同中套的做法。笔者通过分析建议将委托理财作为一种独立的法律关系看待，将委托理财合同看作一种无名合同，从而根据实际情况对合同双方的权利义务进行判断。法律规范和司法实践中对于委托理财相关争议问题处理的分析是本文的另一重点部分，集中分析了部门规章对于委托理财主体的限制、保底条款的合理性与合法性、监管协议的相关问题。通过运用公法和私法的基本理论，分析了对于委托理财主体限制甚至否定其签定合同效力的错误。通过运用民法的公平理论，论证了保底条款的合理性，通过分析作为主张保底条款的通常是受托方，而受托方作为具有专业知识的金融机构与作为委托方的企业和个人相比并不可能处于弱者的位置，从而否定了认为保底条款一律无效或都为可撤消的观点。详细阐述了监管协议的内容和性质，并认为其实际上是一种委托合同，是委托理财合同的从合同。对于监管人的责任，提出根据实际情况，在监管协议有效时监管人承担违约责任，无效时承担缔约过失责任，而在由于监管人的过错造成委托人损失时承担侵权责任的观点。规范委托理财的设想在以上分析的基础之上，对于委托理财的法律监管、委托方自身公司治理结构和受托方的制度构建提出了一些设想。希望有关机关尽快制订统一的规范委托理财的法律法规，在此之前，最高院应出台司法解释以应对现实中的诉讼。作为委托方的企业特别是上市公司，应完善自身的公司治理结构，严格按照规定进行信息披露，规范资金的使用。作为主要受托方的证券公司应规范其内部运做，并根据国外的做法提出了组建专门的资产管理公司的建议。期望这些能对委托理财这一新生事物的完善有所裨益。
[Abstract]:Entrusted financing is one of the new things in China ' s capital market . With the development of China ' s economy and the growth of capital market . However , as with other new things in the capital market , the entrusted financial management is facing new pains and growth . On the other hand , because of the immaturity of China ' s capital market and the low quality of participation subject , it has become one of the reasons for entrusted financing to become one of the most chaotic investment means of capital market . In addition to the introduction and conclusion , this paper is composed of four parts : the general situation of the entrusted financial management , the analysis of the legal nature of the entrusted financial management , the legal norm and the judicial practice , the analysis of the handling of the relevant disputes in the entrusted financial management , the idea of standardizing the entrusted financing , and the like , and puts forward some opinions and ideas for the analysis of the entrusted financial management . The general situation of entrusted financing in China is the introduction of the entrusted financial management in China , and points out the current situation and characteristics of the entrusted financial management in China . Based on the theory of public law and private law , the article analyzes the rationality of the clause of the trust financing , and points out that it is a kind of power of attorney which is not likely to be in the weak position . On the basis of the above analysis , the author puts forward some ideas about the legal supervision of entrusted financial management , the corporate governance structure of the entrusting party and the trustee ' s system .
