融资租赁中出租人的权利保护研究

【摘要】:融资租赁是现代市场经济环境下产生的新型的交易方式,它与传统的交易方式不同,兼具融资和融物的功能。融资租赁是从英文的financial leasing翻译而来,在融资租赁交易中,出租人按照承租人提出的要求,与出卖人(供应商)签订供货合同,购进承租人所需的租赁物,将此租赁物出租给承租人使用,由承租人按照合同的约定定期向出租人缴纳租金,承租人所缴纳的租金包括购买租赁物的货款、利润以及相关费用。从融资租赁交易的过程来看,融资租赁显示出这样一些特点:出租人为租赁物的所有人,但并不占有租赁物,承租人对租赁物享有占有和使用的权利;融资租赁的租赁物通常不具有通用性,是由承租人根据其特定需要而选定,在出租人收回后不易转让;出租人成本和利润的收回取决于承租人能否支付租金,租金能否支付的关键是承租人的诚信度和偿债能力。交易的特点表明出租人处于权利易受损害的地位,但是由于融资租赁兴起的时间比较短,融资租赁中出租人的权利保护问题还没有引起足够的重视。我国1999年颁布的《合同法》列专章对融资租赁合同进行了规定,但对出租人权利保护方面的立法还不够完善,国内的学术研究对出租人权利保护还没有进行全面和深入探讨。因此,本文将在阐述当前立法中存在的保护出租人权利的既定规则的基础上,分析在一般情形下和特殊情形下对出租人权利的保护,在对不同情形的分析中,,本文将联系国外和国际上的相关规定进行探讨,借以发现我国立法中存在的不足之处,希望能为我国立法的完善提供一些参考。本文分为六个部分:第一部分为前言;第二部分对融资租赁进行概括性的介绍;第三部分介绍立法中现有的对出租人权利进行保护的既定规则;第四部分和第五部分分别从一般和特殊两个方面分析在不同情形下对出租人权利的保护。第六部分为文章的结语。
[Abstract]:Finance lease is a new type of transaction in the modern market economy, which is different from the traditional transaction method and has the functions of both financing and financing. The characteristics of the transaction indicate that the lessor is in a vulnerable position, but because of the relatively short period of time in which the financial lease arises, The protection of the lessor's rights in the financial lease has not been paid enough attention to. The special chapter of contract Law promulgated in 1999 in our country provides for the financial lease contract, but the legislation on the protection of the lessor's rights is not perfect enough. The domestic academic research has not carried on the comprehensive and thorough discussion to the lessor right protection. Therefore, this article will elaborate the current legislation in the protection lessor right established rule foundation, This paper analyzes the protection of the lessor's rights under general and special circumstances. In the analysis of different situations, this article will discuss the relevant provisions of foreign countries and international laws in order to find out the shortcomings of our legislation. This paper is divided into six parts: the first part is the preface, the second part is the general introduction of financial leasing. The third part introduces the existing legislation on the protection of the lessor's rights established rules; Part 4th and part 5th respectively analyze the protection of lessor's rights under different circumstances from general and special aspects. Part 6th is the conclusion of the article.
