【摘要】：合同解除与和合同终止是合同消灭的两种重要方式,前者适用于一时性合同,而后者则适用于继续性合同。继续性合同终止应当仅向将来消灭合同关系,已经履行部分继续有效,尚未履行部分不再履行。传统民法中合同解除与终止的分野在我国合同法中体现为合同解除是否具有溯及力问题的探讨。在我国现有的法律规范模式下,对继续性合同的规范不得不依赖一时性合同的规则。同时,为准确判定履行情况和合同性质,还需在更大程度上依赖法官的自由裁量,而这必将会造成法律适用的不确定性。为解决上述问题,我国合同法未来应当完善对继续性合同终止制度的规范,明确规定继续性合同终止的法律制度。本文共分为五章：第一章为继续性合同概述,主要罗列和梳理德国、台湾以及我国大陆学者对继续性合同概念的不同界定,总结继续性合同的本质特征,探讨继续性合同的法理基础。第二章着重阐述了继续性合同终止制度建构的意义和逻辑基础。通过分析和批判继续性合同解除不具有溯及力的传统解释,提出继续性合同解除不应当具有溯及力的根本原因在于继续性合同本身的特征,即合同给付义务中个别给付的独立性。第三章探讨了继续性合同终止的类型与终止事由。首先分析了继续性合同终止的两种形式及其特征,重点阐述了继续性合同非任意终止的事由。进一步对“信赖丧失”与继续性合同终止的关系进行了论述。第四章对继续性合同终止的法律效果进行分析。对合同解除效果的不同学说进行了对比分析与总结,在此基础上着重论述了继续性合同终止的法律效果。第五章探讨了我国《合同法》未来对继续性合同终止制度的具体建构。
[Abstract]:Termination of contract and termination of contract are two important ways to eliminate the contract. The former applies to temporary contract and the latter to continuance contract.The termination of a continuing contract shall only extinguish the contractual relationship in the future, the performed part shall continue to be valid and the unperformed part shall cease to be performed.In the traditional civil law, the difference between the termination of contract and the dissolution of contract is reflected in the retroactive effect of the rescission of contract.Under the current legal norm mode of our country, the norm of continuing contract has to rely on the rule of temporary contract.At the same time, in order to judge the performance and the nature of the contract accurately, it is necessary to rely on the judge's discretion to a greater extent, which will lead to the uncertainty of the application of the law.In order to solve the above problems, China's contract law should perfect the norms of the system of termination of the continuing contract in the future, and clearly stipulate the legal system of the termination of the continuing contract.This paper is divided into five chapters:The first chapter is an overview of continuing contract, which mainly lists and combs the different definitions of the concept of continuing contract in Germany, Taiwan and mainland China, summarizes the essential characteristics of continuing contract, and probes into the legal basis of continuing contract.The second chapter focuses on the significance and logical basis of the construction of continuing contract termination system.By analyzing and criticizing the traditional interpretation that the continuance contract rescinding does not have retroactive effect, the author points out that the fundamental reason why the continuance contract rescinding should not have retroactive effect lies in the characteristics of the continuance contract itself.In other words, the independence of individual payment in the obligation of contract payment.Chapter three discusses the types and reasons of termination of continuing contract.This paper first analyzes the two forms and their characteristics of the termination of a continuing contract, and emphatically expounds the reasons for the non-arbitrary termination of the contract.The relationship between the loss of trust and the termination of continuing contract is further discussed.Chapter four analyzes the legal effect of the termination of continuing contract.This paper makes a comparative analysis and summary of different theories on the effect of termination of contract, and on this basis discusses emphatically the legal effect of termination of contract of continuance.Chapter five discusses the concrete construction of the system of continuing contract termination in the future of contract Law of our country.
