论合同解除中违约金的适用问题

【摘要】：合同解除后非违约方可否基于原合同约定向法院请求适用违约金条款，，我国《合同法》对此并未做出明确规定，这就导致理论与实务界存有较大争议。在学理上，从法律解释的角度出发，合同解除后不能要求支付违约金，只能要求承担损害赔偿责任，而从立法目的的角度出发，当事人可以要求适用违约金条款且违约金优先适用。在实务中，法院对同一性质的案件做出不同的判决，且在说理上观点不一。本文拟从案例分析入手，详细剖析违约金适用混乱的原因，并结合违约金的性质分析，就合同解除后违约金条款以何种身份予以适用，以及如何与其他违约救济方式并存的问题展开论述，最后引入法官自由裁量权的相关内容，对合同解除条件下的违约金条款的适用提出相关的立法建议与实务操作办法，以期对我国的立法有所助益。
[Abstract]:Whether the non-defaulting party can apply the liquidated damages clause to the court on the basis of the original contract agreement after the termination of the contract is not clearly stipulated in the contract Law of our country, which leads to a great controversy between the theory and the practice circle. Theoretically, from the angle of legal interpretation, after the termination of the contract, we can not claim payment of liquidated damages, but only claim liability for damages, but from the point of view of legislative purposes. The parties may request the application of the liquidated damages clause and the liquidated damages shall be applied first. In practice, the court makes different judgments on cases of the same nature, and has different views on reasoning. Starting with the case study, this paper analyzes in detail the reasons for the confusion in the application of liquidated damages, and analyzes the nature of the liquidated damages, as to what kind of status the liquidated damages should be applied to after the termination of the contract. And how to coexist with other remedies for breach of contract, and finally introduce the relevant content of the discretion of the judge, and put forward the relevant legislative suggestions and practical operation methods for the application of the liquidated damages clause under the conditions of rescission of contract. In order to help the legislation of our country.
