网络团购法律问题研究

【摘要】:随着互联网的普及和人们消费方式的变化,网络团购这一购物方式逐渐成为消费者追捧的消费形态。由于网络团购兴起时间短,现行法律对其缺乏有效的规制,导致消费者针对网络团购的投诉和因网络团购引发的民事纠纷不断增加。因此,想要引导整个网络团购行业健康发展,对网络团购进行有效的法律规制就成为迫切需要解决的问题。 本论文共分为五部分进行研究。论文的第一部分从团购的概念、网络团购的概念、网络团购的参与主体入手,概括地介绍了网络团购的基本情况,从法学的角度出发将网络团购定义为一种民事活动。论文的第二部分主要分析网络团购参与主体之间的民事法律关系和各自的权利义务,将商家与消费者之间的关系界定为买卖合同关系,将商家与团购网站之间的关系界定为委托合同关系,将团购网站与消费者之间的关系界定为居间合同关系。论文的第四部分分析了网络团购协议的成立和生效问题。消费者做出购买承诺到达团购网站系统的时间为网络团购协议的成立时间,团购网站的主营业地或者其经常居住地为网络团购协议成立的地点。附生效条件的网络团购协议,条件成就时协议生效;附生效时间的网络团购协议,时间到来时协议生效。论文的第四部分从网络团购行业的发展现状出发,肯定了网络团购具有提升消费者对商家的议价能力,为商家增加成交机会,为团购网站带来可观收益等积极作用;但同时存在网络团购当事人之间民事法律关系不明晰、现行法律对团购网站缺乏准入限制、消费者权利受到侵害等诸多问题。论文的第五部分就网络团购行业存在的主要问题提出规制网络团购的法律建议。笔者建议,通过《合同法》司法解释的形式明确网络团购三方主体之间的民事法律关系,,并将团购网站对消费者承担的约定义务规定为法定义务。通过建立网络团购行业准入和备案制度,规范网络团购市场准入。通过加强对网络团购消费者的知情权和安全保障权的保护、设立犹豫期制度、设立保证金制度来保护网络团购中的消费者。
[Abstract]:With the popularization of the Internet and the change of people's consumption mode, the online group purchase has gradually become the consumption pattern of consumers. Due to the short rise time of online group buying and the lack of effective regulation in the current law, consumers' complaints against online group purchase and civil disputes caused by online group purchase are increasing. Therefore, in order to guide the healthy development of the whole online group purchase industry, it is urgent to solve the problem of effective legal regulation of the online group purchase. This thesis is divided into five parts. The first part of the paper starts with the concept of group buying and the participants of online group buying, introduces the basic situation of online group buying, and defines it as a kind of civil activity from the angle of law. The second part of the paper mainly analyzes the civil legal relationship and their respective rights and obligations between the participants in the online group purchase, and defines the relationship between the merchant and the consumer as the relationship of sale and purchase contract. The relationship between the merchant and the group purchase website is defined as entrustment contract relationship, and the relationship between the group purchase website and the consumer is defined as the intermediary contract relationship. The fourth part of the paper analyzes the establishment and effectiveness of the network group purchase agreement. The time when consumers make purchase promises to reach the group purchase website system is the time of the establishment of the online group purchase agreement, and the main place of business of the group purchase website or its regular place of residence is the place where the network group purchase agreement is established. The network group purchase agreement with the effective condition, the agreement when the condition is successful, and the network group purchase agreement with the effective time, when the time comes, the agreement comes into effect. The fourth part of the paper starts from the current situation of the development of the network group purchase industry, affirms that the network group purchase has the positive function such as enhancing the bargaining ability of the consumer to the merchant, increasing the transaction opportunity for the businessman, bringing considerable profit for the group purchase website, etc. But at the same time, there are many problems such as unclear civil legal relationship between online group buying parties, lack of access restrictions on group purchase website in current law, infringement of consumers' rights, and so on. In the fifth part, the author puts forward some legal suggestions on the regulation of online group buying. The author suggests that through the judicial interpretation of contract Law, the civil legal relationship between the three subjects of online group buying should be clarified, and the contractual obligation of the group purchase website to consumers should be stipulated as the legal obligation. Through the establishment of network group buying industry access and record-keeping system, regulate network group purchase market access. By strengthening the protection of the right to know and the right to safety and security of the online group buying consumers, the system of hesitant period and the system of margin should be established to protect the consumers in the online group purchase.
