我国第三方支付平台市场准入监管法律制度研究

【摘要】:21世纪之初,第三方支付在我国异军突起,随着电子商务的发展而日益得以广泛应用。根据易观数据调查可知,仅2016年上半年我国第三方支付行业中互联网支付交易总规模就已达到90148亿元,发展势头不容小觑。然而与第三方支付的重要性不相适应的是,我国对该行业的监管并不完善,尤其在从源头起控制作用的市场准入方面,导致该行业乱象频生,利用第三方支付平台从事违法行为的现象也多有发生。因此,要保障我国第三方支付行业的健康发展,就必须完善第三方支付平台市场准入监管法律制度。研究第三方支付平台市场准入监管法律制度,即是研究国家对申请进入支付清算市场,提供支付清算服务的非金融机构依法进行审查,对符合法定条件的第三方支付企业颁发支付业务许可证的法律制度,在分析其不足的基础上提出完善建议,旨在提高对第三方支付平台市场准入监管的力度,为第三方支付领域建立一个良好的市场竞争环境,保护消费者权益、维护交易安全,严厉打击利用第三方支付平台进行的违法犯罪活动,保障国家的经济安全。第三方支付最早源于美国,世界上最早的第三方支付平台PayPal于1998年在美国加州成立,目前仍是在全球应用最广泛的在线支付服务提供商之一。随后,第三方支付在欧盟、日本、澳大利亚、新加坡等国家和地区也相继得到发展,这些国家和地区纷纷通过了专门的立法或者修订现有法律,建立了较为成熟的第三方支付法律体系。与我国相比,欧盟和美国的第三方支付市场准入监管法律制度较为完善,并且存在着一些共性,如都规定了较为明确的许可制度和许可条件;灵活地规定进入市场的资本要求等等。其制度设计中有益于第三方支付行业发展的部分值得我们学习和借鉴。随着第三方支付重要性的日益显现,我国监管机构也日益加强对第三方支付行业的监管,然而,在市场准入监管方面还未有足够的重视,我国第三方支付市场准入监管法律制度还存在着无法忽视的问题,如法律规范保障不足、监管主体过于单一、准入条件设置不合理、外商投资准入规定不完善、监管措施不明确等,这些问题无一不阻碍着我国第三方支付行业的健康发展,亟待予以完善。在比较总结了欧盟和美国的第三方支付平台市场准入监管的法律规范、监管机构、监管形式、准入条件以及分析了我国目前第三方支付平台市场准入监管法律制度的现状和存在的问题的基础上,可以从以下几个方面着手完善我国第三方支付平台市场准入监管法律制度:第一,完善第三方支付平台市场准入监管法律规范,加强法律保障;第二,合理设置监管主体,科学分担监管职责;第三,优化准入条件规定,合理规定最低注册资本数额和保证金数额;第四,明确外商投资限制,完善第三方支付平台外资准入法律制度;第五,健全监管措施,细化审核标准。
[Abstract]:At the beginning of 21th century, the third party payment appeared suddenly in our country, and with the development of electronic commerce, it has been widely used day by day. In 2016 alone, the total scale of Internet payment transactions in the third-party payment industry in China has reached nine tillion fourteen billion eight hundred million yuan, and the development momentum cannot be underestimated. However, the importance of third-party payment is not commensurate with the importance of third-party payment. China's supervision of the industry is not perfect, especially in the control of market access from the source, leading to frequent chaos in the industry, the use of third-party payment platform to engage in illegal behavior phenomenon has occurred. In order to ensure the healthy development of the third-party payment industry, we must improve the third-party payment platform market access regulatory legal system and study the third-party payment platform market access regulatory legal system. That is to say, the study of the country to apply to enter the payment clearing market, the non-financial institutions providing payment and settlement services to review according to law, to meet the legal conditions of third-party payment enterprises issued payment business license legal system. Based on the analysis of its shortcomings, the paper puts forward some suggestions to improve the market access supervision of third-party payment platform, to establish a good market competition environment for third-party payment and to protect the rights and interests of consumers. Safeguard the security of transactions, severely crack down on illegal and criminal activities using third-party payment platform, to protect the economic security of the country. Third party payment originated from the United States. PayPal, the world's earliest third-party payment platform, was founded in California in 1998 and is still one of the most widely used online payment service providers in the world. Japan, Australia, Singapore and other countries and regions have also been developed, these countries and regions have passed special legislation or amended existing laws. Compared with our country, the third party payment market access regulation legal system of EU and America is more perfect, and there are some commonalities. Such as the provisions of a more clear licensing system and licensing conditions; Flexible regulation of capital requirements to enter the market and so on. Its system design is beneficial to the development of third-party payment industry part of the study and reference. With the importance of third-party payment has become increasingly apparent. China's regulatory bodies also increasingly strengthen the third party payment industry supervision, however, in the market access regulation has not been enough attention. There are still some problems that can not be ignored in the legal system of third party payment market access in China, such as inadequate protection of legal norms, too single subject of supervision, unreasonable setting of entry conditions and imperfect regulations on access for foreign investment. The regulatory measures are not clear, all of these problems hinder the healthy development of third-party payment industry in China. The third party payment platform in the European Union and the United States market access regulation of the legal norms, regulatory bodies, regulatory forms. Access conditions and analysis of the current third party payment platform market access regulatory legal system on the basis of the status quo and existing problems. We can start from the following aspects to improve the third party payment platform market access regulatory legal system: first, improve the third party payment platform market access regulation legal norms, strengthen legal protection; Second, set up the supervision subject reasonably and share the supervision responsibility scientifically; Third, optimize the entry conditions and reasonably specify the minimum amount of registered capital and the amount of margin; 4th, clear the foreign investment restriction, consummates the third party payment platform foreign capital admittance legal system; 5th, improve regulatory measures, refinement of audit standards.
