网络团购民事法律制度研究

【摘要】：网络团购作为一种全新的商业行为，在全世界经济一体化的时代背景下，以其速度优势、成本优势和信息优势等特点，受到社会各界的普遍关注，并得到迅猛发展。随着我国网络贸易规模的不断扩大，网络团购模式也已经发展成为了商业模式中不可或缺的部分。但是截至目前，我国仍未对网络团购的概念作出一个明确的界定，导致其在民事法律制度的学术研究和立法上仍处于初始阶段，致使我国网络团购在交易的过程中出现了一系列的民事纠纷。因此，关于网络团购民事法律制度的规制已成为当前我国迫在眉睫的要务。本文通过运用概念分析和文献分析等方法来系统地对我国网络团购民事法律制度进行研究。首先，借鉴我国现有的与网络购物相关的法律法规，再分析近五年消费主体的购物理念由线下交易到线上交易的转变，来试图概述网络团购的相关理论、运行模式以及各法律主体之间所涉及到的法律关系；其次，通过对我国网络团购民事法律制度的现状进行分析，发现其问题之所在，并针对这些问题逐一进行深层次地剖析；再次，以美国为首的网络立法发达国家，也给予了我国很多的立法经验，，学习并分析国外的立法实践，找到适合我国网络团购的发展途径，是亟待解决的法学课题；最后，根据文中的论述与分析，试图构建符合我国基本国情的网络团购民事法律制度，并针对我国现行制度中存在的大量问题提出了完善的建议，这也是本文的核心部分。因此，希望通过对本文的研究，能丰富我国网络团购相关理论内容，完善民事法律制度规范，从而较好地对网络团购进行规制，净化网络团购交易市场，保证消费主体的合法权益，以维护我国网络团购市场经济秩序的健康有序运行。
[Abstract]:As a new kind of business behavior, network group purchase, with the characteristics of speed advantage, cost advantage and information advantage, has received widespread attention from all walks of life under the background of economic integration all over the world, such as speed advantage, cost advantage and information advantage, etc. With the continuous expansion of the scale of China's network trade, the online group purchase model has also developed into an indispensable part of the business model. But up to now, China has not yet made a clear definition of the concept of online group buying, resulting in its academic research and legislation in the civil legal system is still in the initial stage. As a result, there are a series of civil disputes in the process of online group buying in our country. Therefore, the regulation of the civil legal system of network group purchase has become an urgent task in our country. In this paper, we use the methods of concept analysis and literature analysis to systematically study the civil law system of online group buying in China. First of all, we draw lessons from the existing laws and regulations related to online shopping in our country. Then it analyzes the change of shopping concept from offline transaction to online transaction in the past five years to try to outline the related theory, operation mode and the legal relationship between various legal subjects. Through the analysis of the current situation of our country's network group purchase civil law system, find out its problem, and carry on the deep analysis to these problems one by one. Thirdly, the network legislation developed country led by the United States, It has also given our country a lot of legislative experience, studying and analyzing the legislative practice of foreign countries, finding a suitable way to develop the network group purchase in our country, is an urgent legal subject to be solved. Finally, according to the exposition and analysis in this paper, This paper tries to construct the network group purchase civil law system which accords with the basic national conditions of our country, and puts forward some perfect suggestions in view of a large number of problems existing in the current system of our country, which is also the core part of this paper. Therefore, I hope that through the research of this paper, we can enrich the relevant theoretical content of China's network group purchase, perfect the civil legal system, so as to better regulate the network group purchase, purify the network group purchase transaction market. To ensure the legitimate rights and interests of the consumers to maintain the healthy and orderly operation of the order of China's network group purchase market economy.
