航运联营反垄断规制研究

【摘要】:近些年,航运市场上班轮公司之间的联营动作越发频繁,单单2014年这一年内,从P3联盟开始一直到后来的2M、O3联盟以及G6、CKYHE联盟的反击,全球班轮市场的格局持续地动荡起伏,这也造成了尤其是托运人一方对班轮公司的一系列联营行为是否会造成航运市场上垄断的担忧。针对这一现象,本文将对航运联营体和航运联盟等班轮公司之间的联营行为进行介绍,鉴于我国目前法律并没有针对航运联营垄断作具体规定,为了解决托运人等当事人的担忧,保护相关当事人的利益,发展我国航运市场,建立我国在航运联营方面的反垄断规制体制,本文将通过对反垄断背后的理论依据进行分析,比较欧盟和美国航运反垄断法和航运联营反垄断规制,确定适合我国航运情况的垄断确定标准和反垄断规制体制,并对达到垄断标准的垄断行为的规制以及未达到垄断标准的联营行为的防范提出建设性意见。行文分为以下五个部分:第一部分介绍学界对班轮公司联营的不同界定,并分析欧盟、美国以及我国对航运联营行为的官方定义,从而交代本文所指代的包括航运联营体和航运联盟在内的联营行为的具体含义。第二部分介绍反垄断法背后的理论学说,包括哈佛学派的结构主义、芝加哥学派的效率主义和后芝加哥学派的策略性理论。第三部分将在反垄断理论的基础上分析欧盟和美国现行航运反垄断法背后的理论依据和认定垄断的标准,结合我国现行相关垄断立法,为划定我国认定航运垄断的标准提出意见。第四部分和第五部分将通过对欧盟和美国对于航运联营反垄断的规制进行介绍,发现我国现行航运联营反垄断规制制度的不足,从而为构建我国航运联营反垄断制度提出相关的建议,在我国建立航运联营的法律体系和规制体制,并从对达到垄断标准的联营垄断行为的规制和对未达到垄断标准的联营行为的监控两方面提出建议。
[Abstract]:In recent years, the joint ventures between liner companies have become more and more frequent in the shipping market. In 2014 alone, the pattern of the global liner market continued to fluctuate from the beginning of the P3 alliance to the counterattack of the 2MKYHE alliance and the G6KYHE alliance. This has also raised concerns, especially on the part of shippers, about whether a series of joint ventures by liner companies will result in a monopoly in the shipping market. This paper will introduce the consortia between shipping consortia and liner companies such as the shipping alliance. In view of the fact that there are no specific regulations on the monopoly of shipping consortia in our country at present, in order to solve the concerns of shippers and other parties, To protect the interests of relevant parties, to develop the shipping market in China, and to establish the anti-monopoly regulation system in shipping consortia, this paper will analyze the theoretical basis behind the anti-monopoly. By comparing the anti-monopoly law of European Union and the United States of America and the anti-monopoly regulation of shipping joint venture, we determine the standard of monopoly and the system of anti-monopoly regulation, which are suitable for our country's shipping situation. It also puts forward constructive suggestions on the regulation of monopoly behavior that meets the monopoly standard and the prevention of joint venture behavior that does not meet the monopoly standard. The text is divided into the following five parts: the first part introduces the different definitions of liner company association in academic circles. It also analyzes the official definitions of shipping consortia in the European Union, the United States and China, The second part introduces the theory behind the anti-monopoly law, including the structuralism of Harvard School. The third part will analyze the theoretical basis and the standard of monopolization in the current shipping anti-monopoly law of the European Union and the United States on the basis of the anti-monopoly theory of the Chicago school and the strategic theory of the post-Chicago school. Combined with the current relevant monopoly legislation in our country, this paper puts forward some suggestions for delimiting the standards for determining the shipping monopoly in China. Part 4th and part 5th will introduce the anti-monopoly regulations of the European Union and the United States for the shipping association. This paper finds out the deficiency of the current anti-monopoly regulation system of China's shipping consortia, and puts forward some relevant suggestions for the construction of the anti-monopoly system of China's shipping consortia, and establishes the legal system and the regulatory system of the shipping consortia in China. Some suggestions are put forward from two aspects: the regulation of consortia 'monopoly behavior which meets the monopoly standard and the supervision of the joint venture's behavior that does not meet the monopoly standard.
