深化公司设立登记制度改革的法律思考

【摘要】：商事登记改革,是对现行的商事登记制度和监管制度的重新构造,是政府进一步转变职能和深化行政审批体制改革的重要举措。公司作为市场经济下的一种最为重要的企业组织形式,与我们的生活息息相关,公司的设立登记制度改革无疑会对整个市场经济的运行产生重大的影响。“宽进严管”是此次改革的基本目标,公司设立登记制度的改革确实大大降低了公司企业进入市场的门槛,简化了公司设立的程序,但“宽进”并不是改革的唯一目标,更不是让监管部门不要去管,而是要在面对我国现有的市场经济秩序的前提下,通过完善监管部门的监管机制,从而做好后续的“严管”工作,这才是我们所追求的效果,也是此次改革能够成功的关键因素。本文从公司设立登记制度的基本理念出发,分析了公司设立登记这一具体行政许可行为的法律属性,介绍了公司设立登记制度的效率价值和安全价值。在此次公司设立登记制度的初步改革后,公司在设立的前置许可、经营场所、经营范围、年度检验等方面都发生了重大的变化,随着这些新的变化,在监管实践当中也存在着公司设立的门槛不一、部门责任不明、制度冲突等实际的问题。面对这这些问题,本文从法的安全价值作为切入点,同时也吸取和借鉴了美国、德国和日本西方先进国家的一些做法,最后从认识层面、立法层面和执法层面提出如何继续深化公司设立登记制度改革,做好“严管”提出自己的看法和建议。

Lenient strict control is the basic goal of the reform, the reform of company registration system can greatly reduce the company to enter the market threshold, simplify the company set up a program, but only the target wide "is not reform, but not to make regulators do not worry, but in the face of China's current market economic order, improve the supervision mechanism by the regulatory authorities, in order to do the follow-up" strict management ". For this is our pursuit of the effect, is the key factor in the successful reform. This article from the basic concept of company establishment registration system of the company to set up the legal attribute of the registration of the specific administrative licensing act, the efficiency and security value of company establishing registration system. The establishment of preliminary registration system reform in the company, the company set up in the pre license, business location, business scope, annual inspection have undergone significant changes, with these new changes in regulatory practice there are companies to set up the threshold is not a department, the responsibility is unknown, system conflict and practical issues in the face of this. These problems, this article from the security value of law as a starting point, but also draw lessons from the United States, Germany and Japan, some of the practices of the western advanced countries, finally from the level of understanding, legislation And the law enforcement level put forward how to further deepen the company registration system reform, to "strict control" put forward their views and suggestions.
