我国公司解散登记制度研究

【摘要】：公司制度以确立股东有限责任原则极大地激发了投资者的积极性,加速了社会资本的集中过程,推动了社会经济的快速发展。同时,公司也成为我国现代企业制度中最为主要的企业类型,是市场经济中最重要的民事主体。公司的设立和终止制度的建立和完善直接影响着我国经济秩序的稳定和社会信用体系的建立。但是,从我国目前的立法和学术研究情况看,对于公司的设立,即在公司的市场准入方面,立法部门和理论界给予了较高的关注,法律规制比较健全。而在公司终止方面,即在公司退出市场方面,现行法律规定模糊,缺乏完备的退出机制,以至于实践中出现的大量问题因无法可依使司法部门处于相当尴尬的境地。公司作为社会的主要经济单位,其违法越轨行为的危害性不仅仅局限于债权人,还会向整个社会蔓延,此类问题如果不能得到及时有效地解决,不仅公司债权人的利益无法得到充分的保护,而且将纵容某些公司借解散之机逃废债务,不利于建立我国有序、安全、公正、高效的经济秩序,从而带来一系列的社会经济、政治等方面的问题。公司解散登记制度属于公司的必要外部调节制度,体现了国家权力对公司内部情况的适当性干预,既具备解决矛盾、救济权利的功能,且具备攻克公司内部在自我调节方面的有限性、促进公司顺利运转的治理功能,该制度已构成了公司治理系统中的核心环节以及不能忽视的一部分。在社会主义市场经济中中,该项制度在维护社会的正常秩序,规范公司经营,平衡各个主体之间的利益,特别是在维护债权人利益方面,起着很大的社会积极作用。故本文拟从公司解散登记制度为出发点,以公司解散的基本理论为基础,依据目前我国法律在公司解散方面的规定,尝试在公司解散登记制度方面,做出有意义的建树,分析建立公司解散登记备案制度的必要性,以望对解决我国公司解散中现存的弊端有所裨益,并对此提出自己的制度构想。
[Abstract]:The principle of limited liability of shareholders has greatly stimulated the enthusiasm of investors, accelerated the process of concentration of social capital, and promoted the rapid development of social economy.The establishment and termination system of the company has a direct impact on the stability of economic order and the establishment of social credit system in China.However, from the current situation of legislation and academic research in our country, the legislative department and the theoretical circle have paid high attention to the establishment of the company, that is, the market access of the company, and the legal regulation is relatively perfect.In the aspect of company termination, that is, in the aspect of company withdrawal from the market, the current laws and regulations are vague and lack of a complete exit mechanism, so that a large number of problems in practice can not be relied on to make the judicial department in a rather awkward situation.As the main economic unit of the society, the harmfulness of the illegal and deviant behavior of the company is not only limited to the creditors, but also spreads to the whole society. If this kind of problem can not be solved in a timely and effective manner,Not only can the interests of the creditors of the company not be fully protected, but also some companies will be allowed to take the opportunity of dissolution to evade and cancel debts, which is not conducive to the establishment of an orderly, safe, just, and efficient economic order in our country, thus bringing about a series of social and economic conditions.Problems in politics, etcThe company disbandment registration system belongs to the necessary external regulation system of the company, which embodies the proper intervention of the state power to the internal situation of the company, which has the function of resolving the contradiction and relieving the right.Moreover, it has the governance function of overcoming the limitation of self-regulation and promoting the smooth operation of the company. This system has formed the core link of the corporate governance system and can not be ignored.In the socialist market economy, this system plays an active role in maintaining the normal order of the society, standardizing the operation of the company, balancing the interests of the various subjects, especially the interests of the creditors.Therefore, this paper intends to start from the company dissolution registration system, based on the basic theory of company dissolution, according to the current provisions of Chinese law in the aspect of company dissolution, try to make meaningful achievements in the aspect of company dissolution registration system.This paper analyzes the necessity of establishing the system of company disbandment registration and filing in order to solve the problems existing in the dissolution of the company in our country and puts forward its own system conception.
