论公共企业的法律属性

【摘要】：我国公共产品供给难以满足社会需求的深层原因是公共企业法律制度的缺失。现行法律规则体系虽对"涉公共利益企业"进行了多种表述,但均有不足,应以"公共企业"概念予以统一。公共企业因所提供产品的"公共性",在经营中具有明显的"公法性"特质,但同时作为市场主体,又具有追求效率的"私法性"品格,成为一种"特殊法人"。为防止公共企业在经营中将公法责任遁入私法,应从市场准入与退出、治理机制、交易行为、价格管制、信息披露以及公共利益救济等多方面进行特别规制,并通过构建《公共企业法》弥补当前公共企业法律制度的缺失,最终促进公共产品的有效供给。
[Abstract]:The deep reason why the supply of public goods in our country is difficult to meet the social demand is the lack of the legal system of public enterprises.Although the current system of laws and regulations has a variety of expressions of "enterprises involved in public interest", they all have shortcomings and should be unified by the concept of "public enterprises".Because of the "publicity" of the products provided by the public enterprises, they have obvious characteristics of "public law" in the management, but as the main body of the market at the same time, they have the character of "private law" in pursuit of efficiency, so they become a "special legal person".In order to prevent public enterprise from evading public law responsibility into private law, special regulation should be made from market access and withdrawal, governance mechanism, transaction behavior, price control, information disclosure and public interest relief, etc.And through the construction of the Public Enterprise Law to make up for the lack of the current public enterprise legal system, and finally promote the effective supply of public goods.
