党组织参与国企公司治理的路径与法律保障研究——以国企分类改革为视角

【摘要】：在当前我国的国企改革中,党组织如何参与到公司治理之中,为其参与提供什么样的保障机制,是加强国企党的领导的研究重点之一。以国企分类改革的提出为契机,分类参与成为党组织参与国企公司治理的有效路径。沿此逻辑,党组织可以通过间接引导型与直接干预型两种方式参与到不同类型的国企公司治理之中。为实现党组织参与的"收放自如",避免走入以党代企的认识误区,应当通过对相关立法进行完善与整合,构建起系统性的国有企业法律制度体系,使党组织参与有据,有法可依。
[Abstract]:In the current reform of state-owned enterprises in China, how the party organizations participate in corporate governance and what kind of security mechanism to provide for their participation is one of the key points in strengthening the leadership of the party of state-owned enterprises. Taking the reform of the classification of state-owned enterprises as an opportunity, classified participation has become an effective way for party organizations to participate in the corporate governance of state-owned enterprises. Along this logic, party organizations can participate in different types of SOE corporate governance by indirect guidance and direct intervention. In order to realize the party organization's participation in "collecting and releasing freely" and avoid the misunderstanding of the Party acting for the enterprise, we should perfect and integrate the relevant legislation, construct a systematic legal system of the state-owned enterprise, and make the party organization participate in a well-founded way. There are laws to follow.
