某学院新校区建筑施工项目法律风险防控对策研究

【摘要】：随着我国城镇化进程的加快,建设工程项目在我国国民经济中占的比重越来越大,建设施工项目是一个动态并受到多种因素影响和决定的项目,而且具有周期长、造价高、专业性强等诸多特点,分布广、类型多、储量大使得建设工程项目在实践中出现了很多纠纷,根据2017年2月1日在中国裁判文书网上的查询结果显示,仅2016年一年案由为建设工程纠纷的案子总量就达到了41577件,其中合同相关的案件32426件,利息、利率相关的21117件。以上数据充分显示建设施工项目存在诸多的未知风险,而且由于建设工程的特殊性,导致很多施工方都欠缺法律方面的知识,这些隐患和应有知识的欠缺最终给整个施工项目的完成带来了诸多法律风险,法律风险和诉讼纠纷作为多数工程风险的最终表现形式,严重阻碍了施工企业管理水平的提高。因此,建筑施工项目中法律风险的识别及防范对施工企业来说至关重要,本文结合具体的案例,从施工者的角度研究施工项目可能涉及到的法律风险以及相应的防控对策。本文首先从相关理论基础入手,分析了合同理论、风险管理理论以及我国现行的建筑工程法律规范体系,为本文奠定了坚实的理论基础。接下来,引入了某学院新校区建筑施工的项目,介绍了项目背景以及涉诉情况。其次,分阶段对该项目建设施工中出现的法律风险进行了分析,包括项目立项阶段、合同签订阶段、合同履行阶段和工程结算阶段,并针对不同阶段提出了相应对策,增强法规意识、做好尽职调查、建设企业法律控制体系、重视对合同内容的审查、注重过程控制、明确管理权限、建立常年法律顾问制度、建立项目经理严格考核制以及证据管理的保障机制。最后,通过这个项目引出了其他建设施工项目可能涉及到的其他普适性的法律风险,并提出了法律风险防控的措施。这些防控对策可以为建设施工项目的风险管理提供理论和现实的依据,从而促进施工企业更好地防控项目法律风险。
[Abstract]:With the acceleration of urbanization in our country, the proportion of construction project in our national economy is more and more large. Construction project is a dynamic project which is influenced and decided by many factors, and has a long period and high cost. Many characteristics, such as strong professionalism, wide distribution, many types, and large reserves, have led to a lot of disputes in the practice of construction projects. According to the results of inquiries on the Chinese referee's documents online on February 1, 2017, In 2016 alone, the total number of cases involving disputes over construction projects reached 41577, of which 32426 were contract-related cases, 21117 were related to interest and interest rates. The above data fully show that there are many unknown risks in construction projects, and because of the particularity of construction projects, many construction parties lack legal knowledge. These hidden dangers and the lack of due knowledge have brought many legal risks to the completion of the whole construction project. Legal risks and litigation disputes, as the final manifestation of most engineering risks, have seriously hindered the improvement of the management level of construction enterprises. Therefore, the identification and prevention of the legal risk in the construction project is very important to the construction enterprise. In this paper, the author studies the legal risk that the construction project may involve from the angle of the constructor and the corresponding countermeasures of prevention and control. This paper begins with the relevant theories, analyzes the contract theory, the risk management theory and the current legal system of construction engineering in our country, which lays a solid theoretical foundation for this paper. Then, the construction project of a new campus is introduced, the background of the project and the situation of litigation are introduced. Secondly, the paper analyzes the legal risks in the construction of the project in stages, including the stage of project establishment, the stage of contract signing, the stage of contract performance and the stage of project settlement, and the corresponding countermeasures are put forward for different stages. To strengthen the awareness of laws and regulations, to do due diligence, to build a legal control system for enterprises, to attach importance to the examination of contract content, to pay attention to process control, to define the management authority, to establish a perennial legal advisory system, Establish strict appraisal system of project manager and guarantee mechanism of evidence management. Finally, the other universal legal risks which may be involved in other construction projects are elicited through this project, and the measures of legal risk prevention and control are put forward. These countermeasures can provide theoretical and practical basis for risk management of construction projects, thus promoting construction enterprises to better prevent and control project legal risks.
