银信理财合作业务监管法律问题研究

【摘要】:银信理财合作是指银行将理财计划项下的资金交付信托,由信托公司担任受托人并按照信托文件的约定进行管理、运用和处分的行为。2006年,一款由民生银行发行的信托公司与银行合作的理财产品,开启了银信合作的潘多拉之盒。银信理财合作业务逐渐异化为商业银行“信贷资产出表”的通道,该项业务在我国迅速发展。2009年开始,监管部门频频出台政策限制银信理财合作业务。然而,银信理财合作业务并没有销声匿迹,而是在实践中不断演变出新的模式,监管套利现象屡禁不止。本文通过分析认为银信理财合作业务存在法律性质不明、信息披露不充分、损失分担机制不明确等问题。并且,该业务具有监管套利的特点,大量资金经过层层包装流入房地产、地方融资平台等长期限、高风险领域。资金在金融机构形成空转,增加了融资成本,严重干扰了国家宏观调控政策,对其进行监管具有现实的意义。在对银信理财合作业务监管过程中,暴露出监管规则混乱、监管手段粗暴、监管效率低下等问题,笔者据此提出应当加强投资者权益保护和改革银信理财合作业务法律监管制度等建议。全文结构如下:第一章介绍银信理财合作业务的内容和存在的问题。SOT模式是目前实践中银信理财合作业务的典型模式。通过对SOT模式的交易结构和法律关系进行剖析,认为银信理财合作业务存在法律性质不明、信息披露不充分、损失分担机制不明确等问题。第二章以银信理财合作业务法律监管演变和内容作为研究对象。本章对相关监管法律法规、规章和规范性文件进行纵向梳理,并对所涉及的具体条款进行细致的横向比较,总结出银信理财合作业务监管存在三个问题:监管规则混乱导致法律权威削弱、监管手段粗暴反映出行政权力滥用、分业监管下的监管套利。第三章就完善银信理财合作业务法律监管提出具体建议。包括加强投资者权益保护和改革银信理财合作业务监管制度。加强投资者权益保护应当建立信息披露制度、明确损失分担机制和完善受益人大会制度;改革银信理财合作业务监管制度应当转变监管理念、健全金融法律体系和强化监管协调措施。
[Abstract]:Bank-trust financial cooperation refers to the bank's behavior of delivering the funds under the financial management plan to the trust, the trust company acting as the trustee and managing, applying and disposing of the funds in accordance with the agreement of the trust documents. 2006, A wealth-management product issued by Minsheng Bank, a trust company working with banks, opened the Pandora's box. The banking and credit management cooperation business gradually dissimilated into the channel of "credit assets out of the table" of commercial banks, which developed rapidly in our country. Since 2009, the supervision department has frequently issued policies to restrict the banking and credit management cooperation business. However, banking and banking cooperation business has not disappeared, but has evolved a new model in practice, regulatory arbitrage phenomenon repeatedly prohibited. This paper points out that there are some problems such as unclear legal nature, inadequate disclosure of information and unclear mechanism of loss sharing. Moreover, the business has the characteristics of regulatory arbitrage, a large number of funds flow through layers of packaging into real estate, local financing platforms and other long-term, high-risk areas. Funds in financial institutions form idling, increase financing costs, seriously interfere with the national macro-control policies, the supervision of its practical significance. In the process of supervising the banking and credit management and cooperation business, the problems have been exposed, such as the confusion of the supervision rules, the rough means of supervision, the low efficiency of supervision, and so on. Accordingly, the author puts forward some suggestions such as strengthening the protection of investors' rights and interests and reforming the legal supervision system of banking and banking cooperation business. The structure of the paper is as follows: the first chapter introduces the content and existing problems of banking cooperation business. The SOT model is a typical mode of banking cooperation business in practice at present. Based on the analysis of the transaction structure and legal relationship of the SOT model, it is concluded that there are some problems such as unclear legal nature, inadequate information disclosure and unclear loss sharing mechanism. The second chapter focuses on the evolvement and content of banking and financial cooperation business. This chapter combs the relevant regulatory laws, regulations and normative documents vertically, and makes a detailed horizontal comparison of the specific provisions involved. It concludes that there are three problems in the supervision of banking cooperation business: the confusion of supervision rules leads to the weakening of the legal authority, the means of supervision roughly reflect the abuse of administrative power, and the regulatory arbitrage under the separate supervision. The third chapter puts forward some concrete suggestions to perfect the legal supervision of bank-trust financial cooperation business. This includes strengthening the protection of investors' rights and interests and reforming the banking and credit management cooperation business supervision system. In order to strengthen the protection of investors' rights and interests, we should establish information disclosure system, clarify the mechanism of loss sharing and perfect the system of beneficiary meeting, and reform the supervision system of banking and banking cooperation business. Improve the financial legal system and strengthen regulatory coordination measures.
