论商业贿赂行为的界定

【摘要】：商业贿赂是市场经济失调下常见的经营者违法行为,属于经营者的不正当竞争行为。我国法律主要通过《反不正当竞争法》对其进行相应的规定,同时辅以刑法、《关于禁止商业贿赂行为的暂行规定》等部门规章作为补充。但由于法律界定不清,不同位阶的规定不同,各界在解读及适用时常常存在不一致、甚至冲突的局面。由于现行法律对商业贿赂的界定不清已经在实际生活中产生了巨大的危害,因此,正确界定商业贿赂并进行相关立法迫在眉睫。本文通过对工商、司法法律规范及学界对商业贿赂的认定标准一一进行阐述及分析,通过三个典型的商业贿赂案件比较分析行政执法与司法对商业贿赂认定标准的差异,同时借鉴国外的相关法律规定、学术释义,通过法理分析努力探寻商业贿赂的本质,并统一商业贿赂行为的认定标准。笔者得出商业贿赂的本质其实是市场经济的交易方通过利益交换的手段,获取不正当竞争优势的行为。结合商业贿赂的认定标准我们可以给商业贿赂下一个较为完整、清晰的定义,即商业贿赂指的是市场交易的一方,通过向交易相对方及可能影响交易行为的其他平等主体给予利益,获得不正当的竞争优势,造成或可能造成扰乱市场公平竞争秩序的行为。当前正值1993年颁布的《反不正当竞争法》第一次大的修订,人大法制办发布了《反不正当竞争法(修订草案)》。草案对现行法律的修改有很多可取之处,然而草案对商业贿赂的本质界定仍存在一些问题。笔者结合本文对商业贿赂本质及认定标准的探讨和分析,对草案提出了一些修改和建议,以期解决商业贿赂实际存在的问题。
[Abstract]:Commercial bribery is a common illegal behavior of operators under the maladjustment of market economy, which belongs to the unfair competition behavior of operators. The law of our country mainly through the "Anti-unfair Competition Law" to its corresponding provisions, supplemented by the criminal law, "temporary provisions on the prohibition of commercial bribery" and other departmental regulations as a supplement. However, because the definition of law is not clear and the regulations of different levels are different, there are often inconsistent or even conflicting situations in interpretation and application. As the current law of commercial bribery has not clearly defined in the actual life has caused great harm, therefore, the correct definition of commercial bribery and the relevant legislation is urgent. This paper expounds and analyzes the commercial bribery standards of industry and commerce, judicial legal norms and academic circles, and compares and analyzes the differences between administrative law enforcement and judicial recognition standards of commercial bribery through three typical commercial bribery cases. At the same time draw lessons from the relevant laws and regulations of foreign countries, academic interpretation, through legal analysis to explore the nature of commercial bribery, and unify the standard of commercial bribery. The author comes to the conclusion that the essence of commercial bribery is the behavior of obtaining unfair competitive advantage by means of exchange of interests. We can give a relatively complete and clear definition of commercial bribery in the light of the criteria for the determination of commercial bribery, that is, commercial bribery refers to the party who trades in the market. By giving benefits to the opposite side of the transaction and other equal subjects which may affect the trading behavior, we can obtain unfair competitive advantage and cause or possibly cause the behavior of disturbing the order of fair competition in the market. At present, the first major amendment of the Anti-unfair Competition Law was promulgated in 1993, and the Law Office of the National people's Congress (NPC) issued the Anti-unfair Competition Law (revised draft). There are many merits in the amendment of the current law, but there are still some problems in defining the nature of commercial bribery in the draft. Based on the discussion and analysis of the essence and standard of commercial bribery, the author puts forward some amendments and suggestions to the draft, in order to solve the practical problems of commercial bribery.
