船舶建造中迟延交船法律问题研究

【摘要】:船舶制造业是一个资金密集型产业,船舶造价高、周期长,造船合同通常具有国际性。由于实际情况的复杂性、对于条款理解的差异,往往导致争议的产生。在绝大多数的造船合同案件中,都会存在迟延交付的问题。在SAJ Form、NEWBUILDCON Form和上海格式中均有对交船和迟延交船的规定。然而这些条款的不全面使得实践中关于迟延交船的争议时有发生。从近些年的案件中来看,关于迟延交船的构成与否、具体迟延时间的确定以及买方的救济方式这三方面的争议最为常见。本文除引言和结论外,共分为四章。第一章分析了造船合同的特点和性质:同时也介绍了作为本文论述基础的三大标准合同格式:SAJ Form、NEWBUILDCON Form和上海格式,通过对标准合同条款的分析,对迟延交船作出界定,在实际交船期晚于合同交船期时,建造方交船构成迟延。第二章从导致迟延交船的原因出发,分析了在单一原因和多种原因导致迟延交船的情况下确定延误时间的具体方法:在单一原因造成迟延交船时,可运用关键路径分析法,找出造成迟延的原因;在多种原因造成迟延交船时,结合中英两国法院的具体做法,应考虑适用分摊规则,对各个原因造成的迟延逐一分析,根据其重要程度和责任比例进行分摊,在扣除造船合同可允许的推迟事件造成延误的时间后,最后得到的就是建造方迟延交船的具体时间。第三章从标准合同格式的规定入手,分析了延误通知作为建造方主张顺延合同交船期的前提条件的合理性,从而进一步对延误通知的构成要件和法律后果进行了研究。第四章分析了迟延交船时买方的两种救济方式:议定赔偿和合同解除权,对两种方式的具体适用进行了深入探讨和分析:议定赔偿具备补偿性,在适用议定赔偿条款时应注意限制条件。买方解除合同后,既可以要求建造方返还预付的船款及利息、供应品,也可以主张损害赔偿,要求建造方赔偿因迟延交船导致买方遭受的直接利益和间接利益的损失。
[Abstract]:Shipbuilding is a capital-intensive industry with high cost and long cycle. Shipbuilding contracts are usually international. Due to the complexity of the actual situation, differences in understanding of the terms often lead to disputes. In most shipbuilding contract cases, there will be delay in delivery. In the SAJ form neBUILDCON Form and Shanghai format, there are provisions for delivery and delayed delivery. However, due to the incompleteness of these clauses, disputes about delayed delivery of ships occur from time to time in practice. According to the cases in recent years, the disputes about the constitution of the delayed delivery ship, the determination of the specific delay time and the buyer's remedy are the most common disputes. In addition to the introduction and conclusions, this paper is divided into four chapters. The first chapter analyzes the characteristics and properties of shipbuilding contract. At the same time, it introduces three major standard contract formats: SAJ form and Shanghai format. Through the analysis of standard contract terms, the delay ship is defined. When the actual delivery date is later than the contract delivery date, the construction ship delivery constitutes delay. In the second chapter, starting from the causes of delay in delivery, the author analyzes the specific methods of determining the delay time in the case of single cause and multiple reasons. When the single cause causes delay, the critical path analysis method can be used. To find out the causes of the delay; in the case of delays in the delivery of ships due to various causes, and in the light of the specific practice of the courts of China and the United Kingdom, consideration should be given to the application of the rules of assessment to analyse the delays caused by each reason one by one. According to the degree of importance and the proportion of responsibility, after deducting the time of delay caused by the postponement of shipbuilding contract, the time of delay in delivery of the ship by the builder is obtained. The third chapter starts with the standard contract format and analyzes the rationality of the delay notice as the prerequisite condition for the constructor to insist on the extension of the contract delivery date, and further studies the constitutive requirements and legal consequences of the delay notice. The fourth chapter analyzes two kinds of remedies for the buyer when the ship is delayed: the right to agree compensation and the right to terminate the contract. The specific application of the two methods is discussed and analyzed in depth: the agreed compensation is compensatory. When applying the agreed compensation clause, attention should be paid to the restrictions. After the termination of the contract, the buyer may either require the builder to return the prepaid ship and interest, supplies, or claim damages for the loss of direct and indirect interests suffered by the buyer as a result of the delay in delivery of the ship.
