论我国P2P网贷风险控制的立法完善

【摘要】:根据学者对P2P网络借贷不同角度的定义,可将其定义为网贷信息中介机构通过网络技术为资金的需求方与资金的富足方实现资金借贷的融通服务。由此,看出P2P网络借贷是以金融脱媒为本质,以网贷中介机构为纽带,以互联网技术为基础,以普惠为动因,是一种民间借贷的创新。由于我国民间金融法律体系缺乏、民间资金供求关系不平衡并且我国民间借贷的发展历程较长,P2P网贷在此得到了快速发展,但在P2P网贷行业快速发展的同时其风险也逐渐暴露。P2P网贷平台的运行模式在不断创新的同时运行风险也逐渐增加,再加上我国P2P网贷监管的滞后导致大量的非法P2P网贷模式出现,主要包括资金池模式和平台自融模式、平台诈骗模式。在此背景下笔者从P2P网络借贷风险分析入手,由于P2P网贷行为包含网络借贷行为和网贷中介机构运行行为,因此将网贷风险分为网络借贷行为风险和不同运行模式的网贷平台运行风险。前者主要风险为借款人信用风险、网贷信息安全风险、借贷双方法律风险等,后者则根据网贷平台不同运行模式而存在不同网贷风险。由此应当通过法律对我国网贷风险进行针对性控制,但通过对我国目前法律现状分析发现在网贷风险法律控制方面还尚未完善,主要存在的问题是:基本立法对P2P网贷规制较为滞后,存在民事法律规制不严、民间金融监管法律体系不健全并且各部门法律之间存在规定相互冲突的问题;在专项立法中存在立法形式不规范,立法层级较低并且规制内容尚不全面且适用困难的问题,并且在地方专项法律内容中存在宽严程度不同的问题;在P2P网贷相关配套制度中缺乏与其相适用的征信制度、第三方参与制度的相关内容,并且也缺乏与P2P网贷专项法律适用相配套的网贷行业标准和网贷平台内部风险控制的规章制度。因此,笔者针对上述问题提出对P2P网贷立法的相关建议,在基本立法中对民事法律、监管法律中相关滞后性的有关规定进行改进,并对不同部门法中存在的冲突问题进行统一规定。在专项立法中适当提高中央立法的层级,规范地方立法程序,并对规制内容进行补充和完善。在P2P网贷相关配套制度中,制定与P2P网贷相关的征信制度、第三方参与机构的从业规范,并加强网贷信息中介机构的行业标准和平台内部风险控制规章制度的制定,以达到P2P网贷风险法律控制的目的。
[Abstract]:According to the scholars' definition of P2P network lending, it can be defined as the network loan information intermediary to realize the financing service for the demand side of capital and the rich side of capital through the network technology. From this, we can see that P2P network lending is based on financial disintermediation, internet lending intermediary, Internet technology as the basis, and universal benefit as the motivation. It is an innovation of folk lending. Due to the lack of private financial legal system, the imbalance between private capital supply and demand and the long history of the development of private lending in China, P2P network loans have developed rapidly. However, with the rapid development of P2P network loan industry, the risk of P2P network loan platform is gradually exposed. The operation mode of P2P network loan platform is constantly innovating and the running risk is also increasing gradually. In addition, the lag of P2P network loan supervision in our country leads to a large number of illegal P2P network loan patterns, including fund pool mode and platform self-financing mode, platform fraud mode. In this context, the author starts with the risk analysis of P2P network lending, because P2P network lending behavior includes network lending behavior and network lending intermediary operation behavior. Therefore, the network loan risk is divided into the network lending behavior risk and the network loan platform running risk of different operation mode. The former is the borrower credit risk, the network loan information security risk, the loan both sides legal risk and so on, the latter has the different net loan risk according to the net loan platform different operation pattern. Therefore, we should control the risk of net loan through the law, but through the analysis of the present legal situation of our country, we find that the legal control of the risk of network loan is still not perfect. The main problems are: the basic legislation of P2P network loan regulation lags behind, the existence of civil legal regulation is not strict, the civil financial regulatory legal system is not perfect and there are conflicts between the laws of various departments; In the special legislation, there are some problems such as the form of legislation is not standardized, the level of legislation is low, the content of regulation is not comprehensive and it is difficult to apply, and there are some problems in the content of local special laws. In the P2P network loan related supporting system, there is a lack of appropriate credit system, third party participation system related content, And there is also a lack of P2P network lending specific law applicable to the network lending industry standards and network lending platform internal risk control rules and regulations. Therefore, in view of the above problems, the author put forward the relevant suggestions on P2P network loan legislation, in the basic legislation of civil law, regulatory law in the relevant lag provisions to improve, And the conflict problem in the different branch law carries on the unified stipulation. In the special legislation, we should raise the level of the central legislation, standardize the local legislative procedures, and complement and perfect the contents of the regulations. In the supporting system of P2P network loan, the credit investigation system related to P2P network loan, the employment standard of the third party participating organization, and the industry standard of the network loan information intermediary organization and the risk control rules and regulations within the platform should be established. In order to achieve the P2P network loan risk legal control purposes.
