论破产重整中财产担保债权人利益的保护

【摘要】：我国《企业破产法》自2006年通过之后,2007年破产重整制度正式实施,创造了新的经济发展模式。我国破产法的制定就是为了保护债权人的利益,重整制度的出现适应了我国现阶段国情,同时兼顾了债权人债务人与社会发展相适应等其他利害相关主体的利益,但我国对于重整制度的实行毕竟不如国外的彻底和完善,这依然是一项十分复杂值得我们探究的制度,而有担保债权人的利益保护堪称是整个商业重整(重组)活动中的重头戏,所以我们仍有必要对其中的重要法律问题进行研究,更好的完善该制度。我的毕业论文分为三个部分:第一部分分析界定了有财产担保债权的基本理论。首先,对有财产担保债权的含义进行了界定,并罗列了有财产担保债权的类型。其次,对其进行定性分析,然后着重讨论了为什么要大力保护有财产担保债权人的目的及意义,主要从经济利益以及司法公平两个方面进行讨论。第二部分,分析我国公司企业破产重组中关于财产担保债权人利益保护现存的问题。主要从适用对象的范围和条件,自动中止制度,有担保债权人的监督机制,强制批准制度,重整计划制定主体,损害补偿机制这六个方面存在的问题进行分析,结合我国现有的规定以及对有担保债权人的限制,详细的分析了其中的不足之处。第三部分,针对上一个部分分析出的不足之处,有的放矢地提出了对公司企业破产重整中对债权人利益保护的相关的完善建议。例如:缩小适用范围提高门槛,将重整的适用条件规定为有再生和重建希望的债务人;建立中国特色的充分保护原则,自动冻结允许存在例外;把有担保债权人列入到监督机构的组成人员和重整计划的制定主体中;对重整期间担保物的损坏做区分分别进行补偿等等。
[Abstract]:Since the adoption of the Enterprise bankruptcy Law in 2006, the bankruptcy reorganization system was formally implemented in 2007, which created a new economic development model. The formulation of China's bankruptcy law is to protect the interests of creditors. The emergence of the reorganization system adapts to the current situation of our country, and at the same time takes into account the interests of other stakeholders, such as creditors, debtors, and social development. However, the implementation of the reorganization system in our country is after all not as thorough and perfect as that of the foreign countries. This is still a very complex system worthy of our exploration. The interests of secured creditors can be called as the main part of the whole commercial reorganization (reorganization), so we still need to study the important legal issues, better improve the system. My thesis is divided into three parts: the first part defines the basic theory of property secured claims. Firstly, the definition of property secured claims is defined, and the types of property secured claims are listed. Secondly, it is analyzed qualitatively, and then the purpose and significance of protecting the secured creditor of property is discussed emphatically, mainly from the two aspects of economic interests and judicial fairness. The second part analyzes the existing problems about the protection of the interests of the property secured creditors in the bankruptcy reorganization of Chinese companies. Mainly from the scope and conditions of the applicable object, the automatic suspension system, the supervision mechanism of the secured creditor, the compulsory approval system, the main body of the reorganization plan formulation, the damage compensation mechanism and so on. Combined with the existing regulations and the restrictions on secured creditors, the deficiencies are analyzed in detail. In the third part, aiming at the shortcomings of the last part, the author puts forward some suggestions on how to protect the interests of creditors in the corporate bankruptcy reorganization. For example, reducing the scope of application and raising the threshold, setting the applicable conditions of reorganization as debtors with the prospect of regeneration and reconstruction, establishing the principle of adequate protection with Chinese characteristics, allowing exceptions to exist in automatic freezing; The secured creditor is included in the members of the supervisory body and the main body of the reorganization plan, and the damage of the collateral during the reorganization period is compensated separately, etc.
