职工参与公司治理法律问题研究

【摘要】:影响公司治理的因素众多,因此关于公司治理的研究一直是个极具生命力的法学课题内容。从传统的以公司股东为中心的理论到近些年以公司利益相关理论,不仅显示了公司治理理论的学术诱惑力,也反映了当今社会的经济发展历程。职工是影响公司治理的利益相关者之一,职工参与公司治理对实现公司治理的职工民主制度起基础性作用,也是解决职工民主与股权民主之间利益平衡的基本前提。本文先介绍什么是公司治理和什么是职工参与公司治理两方面来阐述职工参与制度的国内外理论与实践,接着引出被我国逐渐弱化的职工民主管理制度,作者希望通过移植国外职工参与制度来完善具有我国特色的职工民主参与制度。介绍职工参与,就是为了说明公司治理的问题,因此本文第一部分介绍和分析了公司治理与职工参与的关系理论。先对国内外有关公司治理的法学概念进行辨析,随后介绍公司治理的模式与结构以及公司治理的原则与功能,并提出自己的观点与看法,这些都为下文的职工参与做理论铺垫。职工参与公司治理的形式多种多样,根据不同的历史文化背景形成了不同的法学理论,本文第二部分从职工参与的角度出发,阐述职工参与公司治理的基本方式以及意义,讨论了几种职工参与公司治理的基础理论并介绍了当今世界其他国家职工参与制度的主流方式。不同的职工参与方式有着各自的优点,这对我国公司治理制度的发展具有重要的借鉴意义。职工民主管理制度是具有我国国情特色的公司治理制度,本文第三部分讲述了从计划经济下形成的职工民主制度到社会主义市场经济的今天,该制度仍具有很强的实践性。无论是“新三会”还是“老三会”,它都是发挥公司治理作用的重要组织机构。因此,本文第四部分从改革“新三会”和“老三会”的方法,使这两套机构能够更好的发挥其在公司治理中的优越性,以促进劳资各方的和谐共进,从立法上把改革后的公司治理机构予以确认和保护,使真正的职工民主制度在公司治理中发挥其不可替代的作用。
[Abstract]:There are many factors influencing corporate governance, so the research on corporate governance has always been a subject of law with great vitality. From the traditional theory centered on shareholders to the theory of corporate interest in recent years, it not only shows the academic allure of corporate governance theory, but also reflects the economic development process of today's society. Staff and workers are one of the stakeholders who influence corporate governance. The participation of workers in corporate governance plays a fundamental role in realizing the democratic system of workers and staff, and it is also the basic premise to solve the interest balance between employee democracy and equity democracy. This paper first introduces what is corporate governance and what is employee participation in corporate governance to explain the theory and practice of employee participation system at home and abroad, and then leads to the weakening of democratic management system of workers in China. The author hopes to perfect the system of democratic participation of workers with Chinese characteristics by transplanting the system of participation of foreign workers. The introduction of employee participation is to explain the problem of corporate governance, so the first part of this paper introduces and analyzes the theory of the relationship between corporate governance and employee participation. This paper first analyzes the legal concepts of corporate governance at home and abroad, and then introduces the model and structure of corporate governance, as well as the principles and functions of corporate governance, and puts forward its own views and views, all of which pave the way for the participation of employees in the following. There are various forms of employee participation in corporate governance, and different legal theories are formed according to different historical and cultural backgrounds. The second part of this paper expounds the basic ways and significance of employee participation in corporate governance from the perspective of employee participation. This paper discusses several basic theories of employee participation in corporate governance and introduces the mainstream ways of employee participation system in other countries in the world. Different ways of employee participation have their own advantages, which has important reference significance for the development of corporate governance system in China. The democratic management system of staff and workers is a corporate governance system with the characteristics of our country's national conditions. The third part of this paper tells us that the democratic system of workers and staff formed under the planned economy to the socialist market economy today, the system still has a strong practicality. It is an important organization to play the role of corporate governance, whether it is the "new three sessions" or "the old three associations". Therefore, the fourth part of this paper from the reform of the "new three sessions" and "old three associations" method, so that these two institutions can better play its advantages in corporate governance, in order to promote the harmonious development of all parties. In legislation, the reformed corporate governance institutions should be recognized and protected, so that the real democratic system of workers and staff can play an irreplaceable role in corporate governance.
