在华跨国公司社会责任的法律规制及其完善

【摘要】：随着经济全球化进程的进一步深化,跨国公司在华投资的布局和经营行为也在发生一些微妙的变化。跨国公司以其强大的经济力量在侵占我国市场的同时,也暴露出忽视承担社会责任的问题,如苹果的愚人节道歉和轰动全球的“GSK中国商业贿赂案”等等,探讨如何对在华跨国公司履行社会责任进行有效的法律规制十分必要。当今的国际社会,规制跨国公司社会责任的国际规范缺乏强制执行力,且相关的国际投资协定中缺乏对社会责任法律规制的内容,因此,依赖有强制执行力的国内法是对跨国公司社会责任进行法律规制的有效方法。本文通过历史分析和比较分析方法概括了西方发达国家在对跨国公司社会责任法律规制的独特特点:如完备的企业社会责任立法体系、专门的跨国公司社会责任立法、司法制度的保障和设立专门的监督机构等等。同时,本文运用实证分析方法分析了我国在跨国公司社会责任法律规制上存在的诸多缺陷:现行国内立法混乱而不成体系,过于原则性;对跨国公司的执法不规范;司法上存在管制难题;社会监督缺位等等。针对以上缺陷的分析,同时借鉴外国的经典做法,本文提出了完善在华跨国公司社会责任法律规制的些许建议:建议完善双边或多边投资协定条款,加入跨国公司社会责任的实体内容,并以之作为市场准入的条款之一;完善国内跨国公司社会责任立法体系;引入跨国公司社会责任司法化机制,建立跨国公司社会责任案件公益诉讼制度,完善公司人格否认制度等,以实现政府主导下的跨国公司自觉履行社会责任的法律规制新型机制。
[Abstract]:With the further deepening of economic globalization, some subtle changes have taken place in the investment layout and management behavior of multinational corporations in China. With their powerful economic power, multinational corporations, while encroaching on China's market, have also exposed problems of neglecting social responsibility, such as Apple's April Fool's apology and the "GSK China Business bribery case", which has caused a global stir, and so on. It is necessary to discuss how to effectively regulate the social responsibility of multinational corporations in China. In today's international society, the international norms governing the social responsibility of transnational corporations lack enforcement power, and the relevant international investment agreements lack the content of the legal regulation of social responsibility. Relying on the enforcement of domestic law is an effective way to regulate the social responsibility of MNCs. Through historical analysis and comparative analysis, this paper summarizes the unique characteristics of the western developed countries in regulating the social responsibility of transnational corporations, such as the complete legislation system of corporate social responsibility, the special legislation of the social responsibility of transnational corporations. The protection of the judicial system and the establishment of specialized supervisory bodies, etc. At the same time, this paper uses the method of empirical analysis to analyze the defects in the legal regulation of the social responsibility of transnational corporations in China: the current domestic legislation is chaotic and unsystematic, which is too principled, the law enforcement of transnational corporations is not standardized, and the law enforcement of transnational corporations is not standardized. There are problems in the administration of justice; the absence of social supervision and so on. Based on the analysis of the above defects, and drawing lessons from the classical practices of foreign countries, this paper puts forward some suggestions to perfect the legal regulation of the social responsibility of multinational corporations in China: to perfect the bilateral or multilateral investment agreement provisions, Join the entity content of transnational corporation social responsibility and regard it as one of the terms of market access; perfect the legislation system of domestic transnational corporation social responsibility; introduce the judicial mechanism of transnational corporation social responsibility; In order to establish the public interest litigation system of transnational corporations' social responsibility cases and perfect the system of corporate personality denial, this paper aims at realizing the new legal regulation mechanism of transnational corporations' voluntary performance of social responsibility under the guidance of the government.
