PPP模式下项目公司治理结构的特点及完善

【摘要】：政府与社会资本合作(PPP)模式下一旦通过招标采购选定了社会资本方,为了使该项目快速推进和顺利实施,往往会成立专门的项目公司。作为主要受《公司法》等法律规制的PPP项目公司,除了具备一般的公司法律要件之外,还必须注重满足项目建设的实际需要,根据PPP项目实施的要求来组织和完善公司法人治理结构。
[Abstract]:In the (PPP) mode of cooperation between government and social capital, once the social capital side is selected by bidding and purchasing, in order to make the project carry out quickly and smoothly, a special project company is often set up. As a PPP project company, which is mainly regulated by the company law and other laws, in addition to the general corporate legal requirements, it must also pay attention to meet the actual needs of the project construction.
