论经销合同

【摘要】: 经销合同是经销商与生产商签订的,在一定期间及一定区域内,以持续发生买卖关系为目的而订立的合同。经销合同在日常的经济生活中相当常见,但《中华人民共和国合同法》对此却没有相关规定。这不仅给解决因经销合同产生的纠纷带来了一定困难,也给我国的合同法理论界提出了新的课题。但是,在我国几乎没有学者对经销合同的理论进行研究,这不利于我国目前的司法实践,也不利于将来对经销合同的立法。笔者正是着眼于此,勉力而为本文。本文对经销合同概念、分类、主要内容、特征等进行了简要界定,总结了其他国家及地区有关经销合同立法例及司法实践的经验及国外学者的研究成果,在此基础上对经销合同的性质从理论角度进行了剖析,并对经销合同中的特殊条款进行了探讨。笔者通过对经销行业的调查,归纳总结了我国目前在经销合同领域所出现的一些问题,并提出了如何解决经销合同纠纷的几点建议,以期有利于经销合同纠纷的解决及我国经销合同立法的推进。 本文的逻辑思路是:首先分析了经销合同所产生的领域——经销行为,并着重从经济意义和法律意义两个角度对经销行为的出现及发展进行了分析。在此基础上,对经销合同的概念、分类、主要内容、特征等进行了全面地厘定。这部分内容也构成了下文论述的理论基点。其次,本文考察了其他一些国家和地区的立法例及司法实践的经验,这不仅可以使我们了解目前世界上在经销合同领域研究的现状,而且也为我国将来对经销合同立法提供了很好的参考蓝本。在前两部分的基础上,本文对经销合同进行了具体分析。该部分的分析从两个角度展开,一个是对经销合同与其他相类似合同之异同的比较分析,另一个是对经销合同中特殊条款的分析。最后,笔者通过实际调查,总结了目前我国经销合同领域经常出现的一些纠纷,并且提出了解决方案。在此基础,笔者呼吁我国将来在进行《合同法》修改或制订民法典的时候能够把经销合同有名化。全文共分为四个部分,各部分主要内容如下: 第一部分是整个文章论述的基础,在该部分笔者论述了经销行为的产生、发展及意义,并界定了经销合同的概念、分类、主要内容、特征等。该部分从人类交易方式的发展历史考察了经销行为产生、发展,并得出经销行为产生于代理行为之基础上的结论,接着从经济及法律两个角度分析了经销行为的意义。鉴于目前我国理论界没有对经销合同进行研究,因此,在该部分笔者对经销合同的概念等基本内容作了一个系统的界定,这为下文具体探讨经销合同作了理论上的准备。 第二部分主要归纳了目前世界上一些国家及地区的立法例及司法实践的经验,这不仅为我国目前如何解决经销合同纠纷提供了参考,也为我国将来制订经销合同规则提供了借鉴。该部分主要考察了德国、意大利、比利时、欧盟及我国澳门地区对经销合同的立法规定及司法实践的经验,其中着重探讨了德国在此方面的成果。在本部分,笔者整理了德国商法中最常被用来处理经销合同及经销商问题的代理商规则及德国实务界的见解,而对其他国家及地区立法例的考察则主要集中于法律层面上。 第三部分是本文的主要部分。在前两部分的基础上,,本部分进一步分析了经销合同的性质问题及经销合同中的特殊条款。首先,对经销合同性质的分析主要是通过对经销合同与代销合同、特许经营合同、代理合同及买卖合同等的比较来进行的。在此基础上,得出了经销合同是一种特殊的无名合同的结论。其次,笔者对经销合同中的一些具体条款进行了探讨。在这里,笔者只是对经销合同中的一些特殊条款,如规定经销区域、经销商权限、越区销售、经销商品最低购买量、经销商品的推广与宣传、经销合同终止的效力的条款等进行了详细分析。笔者对此进行分析的原因是由这些条款产生的纠纷用我国目前的《合同法》分则的条文是无法解决的,那只有通过《合同法》总则第6条来裁判,笔者对这些具体条款的分析可以作为法官适用诚实信用原则进行裁判时的考虑因素。 第四部分建立在笔者对经销合同的实务进行调查的基础上。笔者调查了我国经销合同领域的现状,整理出了实务中出现的一些问题,并对这些问题提出了比较简单的解决方案。笔者认为,在目前我国的法律框架下,解决经销合同的纠纷应该主要通过《合同法》总则第6条来进行。最后,笔者认为,我国将来修改《合同法》或制订民法典的时候应该将销合同增列为有名合同之一,这样才能保护我国经销行业的安全和秩序。
[Abstract]:A distribution contract is a contract signed by a dealer and a manufacturer in a certain period and in a certain area for the purpose of continuing business relations. The distribution contract is quite common in the daily economic life, but the People's Republic of China contract law has no relevant regulations. This not only solves the disputes arising from the distribution contract. It has brought some difficulties and put forward a new topic for the theory circle of contract law in our country. However, there are almost no scholars in our country to study the theory of distribution contract, which is not conducive to the current judicial practice of our country, nor is it conducive to the legislation of the distribution contract in the future. This paper briefly defines the classification, main contents and characteristics, summarizes the experiences of other countries and regions on the legislation and judicial practice of distribution contracts and the research results of foreign scholars. On the basis of this, it analyzes the nature of the distribution contract from the theoretical point of view, and discusses the special provisions in the distribution contract. After the investigation of the distribution industry, some problems in the field of distribution contract in China are summarized, and some suggestions on how to solve the dispute of distribution contract are put forward in order to help the settlement of disputes in the distribution contract and the promotion of the legislation of distribution contract in our country.
The logical idea of this article is: first, it analyzes the field of distribution contract, distribution behavior, and emphatically analyzes the emergence and development of distribution behavior from two angles of economic significance and legal significance. On this basis, the concept, classification, main contents and characteristics of distribution contract are fully defined. It also constitutes the basis of the theoretical basis discussed below. Secondly, this paper examines the legislative examples and judicial practice of other countries and regions, which not only enables us to understand the current status of research in the field of distribution contracts in the world, but also provides a good reference for our future distribution and cooperation in the same legislation. In the first two parts. On the basis of the division, this article makes a specific analysis of the distribution contract. The analysis of this part is carried out from two angles, one is the comparison and analysis of the similarities and differences between the distribution contract and other similar contracts, the other is the analysis of the special terms in the distribution contract. Finally, the author through the actual investigation, summarizes the current distribution contract field in our country. Some of the frequent disputes and solutions are proposed. On this basis, I call on our country to be able to make the distribution contract famous in the future when the contract law is amended or the civil code is made. The full text is divided into four parts, the main contents of each part are as follows:
The first part is the basis of the whole article. In this part, the author discusses the emergence, development and significance of distribution behavior, and defines the concept, classification, main content and characteristics of distribution contract. This part examines the production and development of distribution behavior from the development history of human transaction, and concludes that distribution behavior is produced by agency behavior. On the basis of the conclusion, the significance of distribution behavior is analyzed from two angles of economy and law. In view of the lack of research on the distribution contract in our country, the author makes a systematic definition of the basic contents of the concept of distribution contract in this part, which is a theoretical preparation for the specific discussion of the distribution contract below.
The second part mainly summarizes the current legislation and the experience of judicial practice in some countries and regions in the world, which not only provides reference for the settlement of disputes in the distribution contract, but also provides reference for the future formulation of the distribution contract rules in China. This part mainly examines Germany, Italy, Belgium, the EU and our Australia. The experience in the legislative and judicial practice of the distribution contract is discussed in the area, which focuses on the results of Germany in this area. In this part, the author collates the agency rules which are most often used to deal with the issues of distribution contracts and dealers and the understanding of the German practice, and the investigation of legislation in other countries and regions. It is mainly focused on the legal level.
The third part is the main part of this article. On the basis of the first two parts, this part further analyzes the nature of the distribution contract and the special provisions in the distribution contract. First, the analysis of the nature of the distribution contract is mainly through the comparison of the distribution contract with the contract of sale, the franchise contract, the agency contract and the sale contract. On the basis of this, the conclusion is drawn that the distribution contract is a special kind of nameless contract. Secondly, the author discusses some specific terms in the distribution contract. Here, the author only deals with some special clauses in the distribution contract, such as the regulation of the distribution area, the authority of the distributor, the sales of the Vietnam area, the minimum purchase quantity of the goods, The reason for this analysis is that the disputes arising from these Provisions are unable to be solved by the provisions of the current "contract law" of our country, and that is only through the "Contract Law > sixth". Analysis can be considered as a consideration when judges apply the principle of good faith.
The fourth part is based on the author's investigation of the practice of the distribution contract. The author investigates the current situation in the field of distribution contract in our country, collate some problems in practice, and put forward a relatively simple solution to these problems. The author believes that, under the current legal framework of our country, the settlement of disputes in the distribution contract is settled. It should be carried out mainly through the "contract law" and the Sixth General rules. Finally, the author thinks that the contract law or the civil code should be added as one of the famous contracts in the future, in order to protect the safety and order of the distribution industry in our country.
