【摘要】:安全港保证义务关系到租船合同当事人的切身利益,也关系到航运实践的健康发展。由于租船合同中有关该义务的内容较为简练,立法规范不够系统,特别是我国有关安全港保证义务的立法内容存在一些问题,,司法实践中缺乏成熟的案例。因此,本文通过比较分析、体系分析、案例分析、法经济学分析等手段,针对安全港保证义务问题展开论述,提出自己的观点,并对我国相关立法提出了立法建议。 本文第一章与第二章针对安全港保证义务的基本问题进行了分析阐述。包括安全港的标准、内涵、范围、主体等。文章比较了有关安全标准的几种学说,分析了与安全港保证义务相对应的权利问题。 本文第三章区分预期保证与连续保证,就有关安全港保证义务存续时间的争论进行了澄清。认为安全港保证义务系连续义务,由作为第一次义务的预期安全保证和相应的派生义务组成。 文章第四章主要从违反安全港保证义务后果的角度,具体结合我国《合同法》相关规定,分析了违反安全港保证义务条款产生的违约责任归则原则、免责事由,以及违约后果中损害赔偿问题与合同解除问题。其中,文章将经济分析方法引入到安全港责任归责原则的分析中,强调重视合同责任原则和重视“与有过失”免责问题相结合。从而有效激励双方都能够提高就安全港问题的注意,避免港口安全事故的发生。 第五章则通过体系解释的方式,对安全港条款与租船合同下其他相关条款进行了比较分析。 通过分析,文章在第六章指出了我国《海商法》有关条文存在的问题。提出通过“连续义务+航行过失免责”模式对安全港保证义务进行规范。
[Abstract]:The obligation of guarantee in safe harbour relates to the vital interests of the parties to the charter party and to the healthy development of shipping practice. Because the content of this obligation in chartering contract is relatively concise and the legislative norms are not systematic, especially in our country, there are some problems in the legislative content of the obligation of guarantee in safe harbour, and there is a lack of mature cases in judicial practice. Therefore, by means of comparative analysis, system analysis, case analysis, law and economics analysis, this paper discusses the obligation of guarantee in safe harbour, puts forward its own viewpoint, and puts forward some legislative suggestions to the relevant legislation of our country. In the first and second chapters, the basic problems of the guarantee obligation in safe harbour are analyzed and expounded. Including the standard of safe harbor, connotation, scope, subject and so on. This paper compares several theories about safety standards and analyzes the rights corresponding to the obligation of guarantee in safe harbour. In the third chapter, the author clarifies the argument about the duration of the guarantee obligation in safe harbour by distinguishing the expected guarantee from the continuous guarantee. It is considered that the obligation of guarantee in safe harbour is a continuous obligation, which consists of the expected security guarantee and the corresponding derived obligation as the first obligation. In the fourth chapter, from the point of view of the consequences of breach of the obligation of guarantee in safe harbour, combining with the relevant provisions of contract Law of our country, the article analyzes the principle of liability for breach of contract arising from the clause of breach of the obligation of guarantee in safe harbour, and the reasons for exemption from liability. And the problem of damages and termination of contract in the consequences of breach of contract. Among them, the article introduces the economic analysis method into the analysis of the principle of liability attribution in safe harbour, and emphasizes the combination of the principle of contract liability and the issue of "liability with negligence". Therefore, both sides can be effectively encouraged to pay more attention to the problem of safe harbour and avoid the occurrence of port security accidents. The fifth chapter compares the safe harbour clause with other related clauses under charter party by means of system explanation. In the sixth chapter, the article points out the problems existing in the relevant articles of Maritime Law of China. This paper puts forward to standardize the obligation of guarantee in safe harbour by the mode of "exemption from fault of continuous duty navigation".
