货物买卖合同与货物海运合同衔接问题研究
[Abstract]:In the international sale and purchase of goods, the goods need to be transported across the border to complete the geographical transfer from the seller to the buyer. Maritime transport is the most important mode of transport. Because the international contract of sale and the contract of international carriage of goods by sea are respectively regulated by the law of sale and the law of carriage, the international, domestic, relevant legislation on sale and transportation is not synchronized. As a result, the front-end sale contract and the back-end transport contract can not be effectively linked, which greatly hinders the smooth performance of the international goods sale contract. Based on the international legislation, international practice and Chinese law of the international sale of goods and the international carriage of goods by sea, the author compares the similarities and differences between the law of sale and the law of carriage in the scope of damages, the obligation of the buyer to pick up goods, and so on. Put forward one's own viewpoint on the effective connection between the contract of sale and the contract of carriage. In the first chapter, the connection between FOB,CIF contract and transportation contract in chartering, loading and unloading rate and THC payment is discussed. In the second chapter, by comparing the similarities and differences between the law of sale and the law of transport in the aspect of "right of control of goods", the author puts forward some suggestions for the amendment of the content of increasing the right of control in Maritime Law of our country. To the contract of sale and purchase and the contract of carriage in the right of control to put forward their own point of view. In the third chapter, by comparing the similarities and differences in the scope of damages for goods between the law of sale and the law of carriage, the author puts forward some suggestions to amend the scope of compensation for damages of goods in Maritime Law of China. The author puts forward his own views on the connection between the contract of sale and the contract of carriage in the scope of damages for goods. In the fourth chapter, by comparing the similarities and differences between the law of sale and the law of carriage in the aspect of "buyer's obligation to pick up goods", the author puts forward some suggestions on the amendment of "buyer's obligation to pick up goods" in China's Maritime Law. The fifth chapter focuses on the extension of the carrier's liability period in the draft of UNCITRAL Transport Law, and the possible impact of the new provisions on the contract of sale and purchase.
