海上租船合同法律制度研究

【摘要】： 租船合同作为海上货物运输合同的一种重要形式,出租人与承租人之间需要签订大量的租船合同,由于租船合同的特殊性导致在合同的订立及履行过程中会产生很多纠纷。 租船合同受到海商法及《合同法》的调整,因为涉外租船合同以适用中国法为前提,但同时也参照国际公约。《合同法》的实施使许多《海商法》中没有规定的有关租船合同的事项可以适用《合同法》的普遍原则,但这些规定往往都是一些原则性的规定,而租船合同作为较特殊的合同种类,其存在着许多与普通民商事合同不同的独特特征,并且租船运输在海上运输中有着上悠久的历史,行成了许多独特的、且被国际社会接受的习惯做法。本文通过五章的论述希望能对完善我国租船合同中的适用问题做一些有益的尝试。 本文介绍了不定期船运输及本文主要论述的定期租船合同的法律性质,介绍了期租合约的谈判过程中需要特别注意也是在日后合约的履行过程中容易产生纠纷的几个重点问题。本文分别对海上租船合同与普通的租赁合同、班轮运输合同进行的比较分析；具体分析了租船合同各方当事人的权利义务及其法律关系。阐述租船合同与普通民事租赁合同相区别的法律制度及在司法实践中对租船合同法律制度特殊之处的法律适用。分别就租船合同中的仲裁条款并入提单这一在实务中经常遇到的颇有争义的问题进行了探讨,内容有解决期租合同纠纷法律适用问题,转租与停租条款在实践中的应用问题,“买卖不破租赁”这一民事租赁合同中特有的法律制度在二手船买卖中对租船合同的影响。
[Abstract]:As an important form of the contract of carriage of goods by sea, the charterer and the charterer need to sign a large number of charter party contracts. Because of the particularity of the charter party, there will be many disputes in the process of the conclusion and performance of the contract. The charter party is regulated by the Maritime Law and the contract Law, because the foreign chartering contract is based on the application of Chinese law. But at the same time, referring to the implementation of international conventions, the implementation of the contract Law makes it possible to apply the general principles of the contract Law to many matters relating to chartering contracts that are not provided for in the Maritime Law, but these provisions are often some provisions of principle. As a special kind of contract, charter party has many unique characteristics which are different from ordinary civil and commercial contract, and charter ship transportation has a long history in maritime transportation, which has become a lot of unique. And accepted by the international community. Through the discussion of five chapters, this paper hopes to make some beneficial attempts to perfect the application of charter party in our country. This paper introduces indefinite shipping and the legal nature of term chartering contract which is mainly discussed in this paper. It also introduces that special attention should be paid in the negotiation process of term charter contract, which is also a few important problems which are easy to produce disputes in the course of contract performance in the future. This paper makes a comparative analysis of the sea charter contract with the ordinary charter contract and the liner shipping contract, and analyzes the rights and obligations of the parties to the charter party and their legal relationship. This paper expounds the legal system of the difference between chartering contract and ordinary civil charter contract and the legal application of the legal system of chartering contract in judicial practice. This paper respectively discusses the arbitration clause in charter party contract and bill of lading, which is often encountered in practice, including the application of law to solve the dispute of lease contract, the application of sublease clause and termination clause in practice. The special legal system in the civil lease contract is the influence on the chartering contract in the sale and purchase of second-hand ships.
