记名提单法律问题研究

【摘要】: 近年来,随着有关记名提单的纠纷和争议不断增加,记名提单逐渐引起人们的注意。但目前世界上大多数国家的立法、司法界和学术界对记名提单都有着不同的认识和做法。为此,笔者认为,有必要对记名提单进行系统的研究。由于篇幅所限,本文主要运用比较法学和判例法学的研究方法,结合各国关于记名提单的法律规定和学术观点,尤其是大量的新生判例,从记名提单的转让性入手,着重研究了记名提单的法律性质和记名提单下承运人无单放货等目前存在较大争议的法律问题,并针对我国现行《海商法》的立法不足提出了相应的修改建议。 除前言和结论外,全文共分为五章。 第一章记名提单概述。本章简要介绍了记名提单的概念和认定依据,同时总结了各国有关记名提单的不同规定和观点。 第二章记名提单的转让性。本章在论述提单转让性和归纳各国相关规定的基础上,指出目前大多数国家规定记名提单不可转让,但可转让性并不是提单的本质属性。 第三章记名提单的法律性质。本章通过对记名提单与典型提单在运输合同(证明)功能、货物收据功能以及物权凭证功能三个方面的比较和分析,讨论了记名提单的法律性质,得出记名提单应归属于提单的结论。 第四章记名提单下承运人无单放货问题。本章从各国相关司法判例和学术观点两方面入手,分析了记名提单下承运人无单放货的问题,认为记名提单下承运人必须凭单放货。 第五章对我国记名提单的立法思考。本章就目前我国有关记名提单的立法和司法现状,提出了修改《海商法》相关规定的建议。
[Abstract]:In recent years, with the increasing disputes and disputes about registered bills of lading, registered bills of lading have gradually attracted people's attention. However, most countries in the world have different understandings and practices on registered bills of lading in legislation, judicial and academic circles. Therefore, the author believes that it is necessary to study the registered bill of lading systematically. Due to space constraints, this paper mainly uses the research methods of comparative law and case law, combined with the legal provisions and academic views of countries on registered bills of lading, especially a large number of new cases, starting with the transfer of registered bills of lading. This paper focuses on the legal nature of the registered bill of lading and the controversial legal issues such as the carrier's no-bill of lading under the registered bill of lading, and puts forward some corresponding suggestions for amending the current maritime law of our country. In addition to the preface and conclusion, the full text is divided into five chapters. Chapter I an overview of registered bills of lading. This chapter briefly introduces the concept and identification basis of registered bill of lading, and summarizes the different provisions and viewpoints of registered bill of lading in various countries. Chapter II transfer of registered bill of lading. On the basis of discussing the transfer of bill of lading and summing up the relevant provisions of various countries, this chapter points out that most countries stipulate that registered bill of lading is not transferable, but transferability is not the essential attribute of bill of lading. Chapter III legal nature of registered bill of lading. This chapter discusses the legal nature of the registered bill of lading by comparing and analyzing the function of the registered bill of lading and the typical bill of lading in three aspects: the function of the contract of carriage (proof), the function of the receipt of goods and the function of the certificate of real right. It is concluded that the registered bill of lading should be attributed to the bill of lading. Chapter IV the carrier has no bill of lading under the registered bill of lading. Starting from the relevant judicial precedents and academic viewpoints of various countries, this chapter analyzes the problem of carrier delivery without bill of lading under registered bill of lading, and holds that the carrier must deliver the goods by voucher under registered bill of lading. The fifth chapter is the legislative thinking on the registered bill of lading in our country. This chapter puts forward some suggestions to amend the relevant provisions of Maritime Law on the current legislative and judicial situation of registered bill of lading in our country.
