农村土地证券化可行性研究及法律制度构建

【摘要】:改革开放伊始农村地区推行的家庭联产承包责任制,极大解放了农村生产力,促进了农村经济的快速发展,但是随着市场经济的逐步深化与成熟,该制度的效用正逐步减弱乃至束缚了生产力的进一步发展。土地作为农村地区的主要财富,必然是生产力变革的首要切入点。因此为改变当前农村地区普遍且长期存在的融资困难、发展缓慢等困境,比较有效的途径就是在制度框架下充分利用农村地区现有的土地资源,创新融资模式,推行现代农业与规模经营。 在多种多样的融资模式当中,资产证券化因其独特功能与精巧设计而具有相当重要的理论研究价值。因此笔者选择农村土地证券化作为研究题目,,以证券化及不动产证券化的基本理论作为研究起点,结合国际经验与国内实际,对农村地区推行土地证券化的可行性进行了初步论证,并在此基础了提出了构建农村土地证券化法律制度的初步构想,以期通过对农村土地证券化法律理论的研究对农村土地证券化的实践起到一定的启示作用。 本文从主体结构层面可以分为三大部分。 第一部分主要从法学角度对农村土地证券化的基础理论进行了初步探究。农村土地证券化作为资产证券化名义之下的具体种类之一,理应以资产证券化及不动产证券化的基本理论为指导。因此该部分首先介绍分析了资产证券化的基本理论,然后以此为指导具体探讨了农村土地证券化的内涵、外延、证券化的标的、基本原理和法律特征,以期对农村土地证券化形成较为全面的法学认识。 第二部分结合中国国情从农村经济现状、现有法律框架对我国农村推行土地证券化的必要性和可行性进行了初步分析。对农村土地证券化必要性方面的分析主要是研究了当下农村地区存在的一些制度困境与现实难题,这些问题逼迫政府与学者不得不寻找全新途径来解决这些问题,农村土地证券化在此方面具有相当优势,值得学界深入讨论。对农村土地证券化可行性方面的分析主要集中在法学角度和金融角度。综合以上分析得出的初步结论是当前的环境存在推行农村土地证券化的可行性。 第三部分结合国外经验探讨我国农村推行土地证券化所需要的法律制度构建。制度构建主要涉及证券化过程中法律关系主体及其权利义务、基本运作流程、相关配套法律制度的完善等方面。 经过上述分析,笔者认为当前农村地区推行土地证券化已具备初步的可行性,对于相应的制度构建应充分利用现有的法律规定,并在此基础上完善《农村土地承包法》、《证券法》、《信托法》等法律法规,以构建完善可行的农村土地证券化制度框架。当然受制于笔者专业能力,农村土地证券化中的许多问题尚未厘清,也不具备相应专业能力构建模型予以量化,希望在今后实践中继续研究探讨。
[Abstract]:At the beginning of reform and opening up, the household contract responsibility system in rural areas has greatly liberated the rural productive forces and promoted the rapid development of the rural economy, but with the gradual deepening and maturing of the market economy. The effectiveness of the system is gradually weakening and even constraining the further development of productive forces. Land as the main wealth in rural areas. Must be the primary entry point for productivity change. Therefore, in order to change the current widespread and long-standing financing difficulties in rural areas, slow development and other dilemmas. The more effective way is to make full use of the existing land resources in rural areas under the institutional framework, innovate the financing mode, and promote modern agriculture and scale management. Among the various financing modes, asset securitization has important theoretical research value because of its unique function and exquisite design. Therefore, the author chooses the rural land securitization as the research topic. With the basic theory of securitization and real estate securitization as the starting point, combined with international experience and domestic reality, the feasibility of land securitization in rural areas is preliminarily demonstrated. On this basis, this paper puts forward the preliminary conception of constructing the legal system of rural land securitization, hoping that the research on the legal theory of rural land securitization will have a certain enlightening effect on the practice of rural land securitization. This paper can be divided into three parts from the aspect of subject structure. The first part mainly explores the basic theory of rural land securitization from the perspective of law. Rural land securitization as one of the specific types under the name of asset securitization. It should be guided by the basic theory of asset securitization and real estate securitization. Therefore, this part first introduces and analyzes the basic theory of asset securitization, and then discusses the connotation of rural land securitization. Extension, the object, basic principle and legal characteristics of securitization, in order to form a more comprehensive legal understanding of rural land securitization. The second part combines China's national conditions from the current situation of rural economy. The present legal framework has carried on the preliminary analysis to our country countryside to carry on the land securitization necessity and the feasibility. The analysis to the countryside land securitization necessity aspect mainly has studied the present countryside existence some system difficulties. Situation and reality. These problems force the government and scholars to find new ways to solve these problems, rural land securitization has a considerable advantage in this area. The analysis of the feasibility of securitization of rural land is mainly focused on the angle of law and finance. The preliminary conclusion of the above analysis is that the current environment exists to carry out the securitization of rural land. The feasibility of. The third part discusses the construction of legal system of land securitization in rural areas of our country combined with foreign experience. The system construction mainly involves the subject of legal relationship and its rights and obligations in the process of securitization, and the basic operation process. The improvement of relevant supporting legal system and so on. After the above analysis, the author thinks that the implementation of land securitization in rural areas has a preliminary feasibility, the corresponding system should make full use of existing legal provisions. And on this basis to improve the "Rural Land contract Law", "Securities Law", "Trust Law" and other laws and regulations, in order to build a sound and feasible rural land securitization system framework, of course, subject to the author's professional ability. Many problems in the securitization of rural land have not been clarified, nor have the corresponding professional ability to construct the model to be quantified. It is hoped that further research and discussion will be carried out in practice in the future.
