【摘要】：自改革开放以来，我国逐步形成了以家庭联产承包责任制为基本特征的农村经济体制，农业经济持续稳步发展。但是随着社会主义市场经济的逐步完善，我国农业市场发生了深刻变化，国际市场的冲击和我国国情的变化，使我国农户小生产与国际大市场的矛盾日益凸显，严重阻碍了“农业、农村、农民”问题（以下简称“三农”问题）的逐步解决，而以农民专业合作社为典型的农业产业化经济组织就在这种背景下，日益受到广大农民的欢迎，并得到了迅速蓬勃发展，极大地推动了我国农业经济的进步。自2007年7月1日起《农民专业合作社法》正式实施以来，我国农民专业合作社走出了长期无明确法律地位的窘迫境地，迎来了又一波合作经济发展的高潮。我国农民专业合作社是社会主义市场经济条件下“民办、民管、民受益”的新兴产物，其健康发展能有效提高农民经济收入，扭转农民长期的弱势地位，推动农业产业化、标准化进程，帮助国家更有效地对农村经济进行调控，有利于“三农”问题的解决和促进和谐社会的建设。本文首先以美国、法国、德国、日本为例，介绍了国外农业合作社的发展历史，并分析归纳了各国在理论研究和立法上对农业合作社法律属性的界定。本文结合了我国农民专业合作社的发展历史和特点，运用法人理论、营利性概念辨析，，通过与其他经济组织的比较，认为农民专业合作社的法律属性为特殊企业法人。最后，本文分析总结了我国农民专业合作社发展中存在的问题和法律规定的不足，结合特殊企业法人属性和实际情况，从内部治理、外部监管和政府扶持角度，对农民专业合作社的发展提出了一些法律对策和建议。
[Abstract]:Since the reform and opening up, China has gradually formed a rural economic system characterized by the household contract responsibility system, and the agricultural economy has been developing steadily. However, with the gradual improvement of the socialist market economy, the agricultural market of our country has undergone profound changes. The impact of the international market and the change of the national conditions of our country have made the contradiction between the small-scale production of Chinese farmers and the large international market increasingly prominent. This has seriously hindered the gradual solution of the problems of "agriculture, rural areas and peasants" (hereinafter referred to as the "three rural issues"). Under this background, the agricultural industrialization economic organizations, which are typical of the farmers' specialized cooperatives, have been increasingly welcomed by the broad masses of farmers. This has greatly promoted the progress of the agricultural economy in China. Since the implementation of the Farmers' specialized Cooperative Law on July 1, 2007, The farmers' specialized cooperatives in our country have come out of the dilemma of lack of clear legal status for a long time and ushered in another wave of cooperative economic development. Our country farmer specialized cooperative is the new product of "run by the people, benefit the people" under the condition of the socialist market economy. Its healthy development can effectively raise the peasants' economic income, reverse the farmers' long-term weak position, and promote the industrialization of agriculture. The process of standardization helps the country to regulate the rural economy more effectively, which is conducive to solving the "three rural" problems and promoting the construction of a harmonious society. First of all, this paper takes the United States, France, Germany and Japan as examples. This paper introduces the history of the development of agricultural cooperatives in foreign countries, and analyzes and sums up the definition of the legal attributes of agricultural cooperatives in various countries in terms of theoretical research and legislation. This article combines the development history and characteristic of the farmer specialized cooperative of our country, uses the legal person theory, the profit concept discriminates and analyzes, through the comparison with other economic organizations, thinks that the legal attribute of the farmer specialized cooperative is the special enterprise legal person. Finally, this paper analyzes and summarizes the problems existing in the development of farmers' professional cooperatives in China and the shortcomings of the legal provisions, combining with the legal personality and actual conditions of special enterprises, from the perspective of internal governance, external supervision and government support. This paper puts forward some legal countermeasures and suggestions for the development of farmers' professional cooperatives.
