外资并购中知识产权评估问题研究

【摘要】：随着我国经济的不断发展,我国招商引资的力度也不断加强,跨国公司在我国的数量及规模都急速增长,外资并购已经成为外资企业在我国发展的重要方式,对我国经济产生了巨大的影响。但在外资并购的过程中,国内企业遇到一些非常棘手的问题,然而我国现阶段对外资并购中知识产权制度的相关研究还比较薄弱,不够全面,在对知识产权评估的理论方面没有建立完善的理论体系,同时对知识产权的评估方法,综合分析等也缺乏相对应的制度,因此外资并购中知识产权的相关问题是非常值得研究的。第一部分为引言。引言主要是介绍了文章的选题背景及意义,相关概念的界定以及我国外资并购的现状,最后说明了本文的研究思路及方法。第二部分针对外资并购特点作简单分析,最后介绍知识产权评估在外资并购中的重要性。第三部分主要讲述了外资并购中知识产权评估的现状以及存在的问题。通过研究我国目前知识产权的评估体系中法律制度的规定,评估机构的现状以及行业现状,分析外资并购中知识产权评估存在的主要问题。第四部分的主要内容是外资并购中知识产权评估制度的构建。在本章中,针对目前外资并购中评估存在法律制度滞后、评估机构管理混乱等现状,从立法和行政的角度提出自己的见解,包括法律法规体系和知识产权评估体系的构建,相关行业的配套措施等内容,意在更好的保障外资并购中国内企业的利益。
[Abstract]:With the continuous development of our economy, the intensity of attracting foreign investment in our country has been strengthened, the number and scale of multinational corporations in our country have increased rapidly, and foreign capital mergers and acquisitions have become an important way for foreign capital enterprises to develop in our country. But in the process of foreign capital merger and acquisition, domestic enterprises encounter some very difficult problems. However, the relevant research on intellectual property system of foreign capital M & A in our country at present is still weak and not comprehensive enough. In the theoretical aspect of intellectual property evaluation, there is no perfect theoretical system. At the same time, there is also a lack of corresponding systems for the evaluation methods and comprehensive analysis of intellectual property rights. Therefore, the intellectual property rights related issues in foreign M & A are worth studying. The first part is the introduction. The introduction mainly introduces the background and significance of the article, the definition of related concepts and the current situation of foreign M & A in China. Finally, it explains the research ideas and methods of this paper. The second part makes a brief analysis on the characteristics of foreign capital M & A, and finally introduces the importance of intellectual property evaluation in foreign M & A. The third part mainly describes the current situation and existing problems of intellectual property evaluation in foreign M & A. by studying the provisions of the legal system in the evaluation system of intellectual property in our country, the present situation of the evaluation institution and the current situation of the industry are discussed. This paper analyzes the main problems of intellectual property evaluation in foreign M & A. The main content of the 4th part is the construction of the intellectual property evaluation system in the foreign capital M & A. in this chapter, aiming at the current situation of the legal system lag behind in the foreign capital merger and acquisition, the evaluation organization management is confused and so on. From the angle of legislation and administration, the author puts forward his own views, including the construction of the system of laws and regulations and the evaluation system of intellectual property rights, and the supporting measures of related industries, in order to better protect the interests of foreign capital mergers and acquisitions of Chinese enterprises.
