企业专利权质押融资研究

【摘要】：随着知识经济时代的到来，企业资产中的无形资产所占比重越来越高。大量以专利权为代表的知识产权流转将成为企业发展的重要途径，企业利用其所拥有的专利权进行融资将引起全社会的广泛关注，并最终为银行等金融机构所接受，这将成为中小企业融资的新方式。随着近些年国家对企业专利权融资的重视，，与之相关的讨论也逐年增多，企业利用专利权融资的案例也逐年增加，企业专利权质押融资制度已被相关法律、法规所确认。但是鉴于专利权不同于实体物的根本属性，加之理论研究的不足、实践中所依据的法律、法规等制度的不完善等因素，企业利用其专利权进行质押融资还很难被银行等金融机构所广泛接受，企业专利权质押融资依然很难大范围推广。对此，笔者在从宏观上来研究我国企业专利权质押融资的制度构建的同时，注重从微观上来探讨企业专利权质押融资规范的具体规定，从企业专利权质押融资制度的难点与争议着手，系统地提出了符合我国现阶段经济发展水平的企业专利权质押融资模式与相关的立法建议。此外，本文将以企业为视角来具体研究专利权质押融资制度，由于目前大多数的专利权的拥有者是各种类型的企业，尤以高科技型企业居多，并且对于资金需求最多的也是各种类型的企业，并以中小企业为主。加之专利权质押融资占了全部知识产权质押融资的绝大部分份额。因此，专门针对企业来进行专利权质押融资制度的研究更具目的性和针对性，进而能够真正地起到帮助我国科技型中小企业摆脱融资难困境的作用。
[Abstract]:With the arrival of the era of knowledge economy, the proportion of intangible assets in enterprise assets is increasing. A large number of intellectual property rights, represented by patent rights, will become an important way for enterprises to develop. It will be widely concerned by the whole society and eventually accepted by banks and other financial institutions, which will become a new way of financing for small and medium-sized enterprises. With the attention of the state to enterprise patent financing in recent years, enterprises will pay more and more attention to the financing of enterprises' patent rights. The related discussions have also increased year by year, and the cases of enterprises using patent financing have also increased year by year. The system of enterprise patent pledge financing has been confirmed by relevant laws and regulations. In addition, due to the lack of theoretical research and the imperfections of laws, regulations and other systems based in practice, it is difficult for enterprises to make use of their patent rights for pledge financing, which is not widely accepted by banks and other financial institutions. Enterprise patent pledge financing is still difficult to be popularized on a large scale. In view of this, the author studies the system construction of enterprise patent pledge financing in China from a macro perspective. Pay attention to discuss the specific regulation of the enterprise patent right pledge financing standard from the microcosmic angle, start from the difficulty and dispute of enterprise patent right pledge financing system, This paper systematically puts forward the financing mode and relevant legislative suggestions of patent pledge in line with the current level of economic development of enterprises in China. In addition, this paper will study the system of patent pledge financing from the perspective of enterprises. Because the majority of patent holders at present are various types of enterprises, especially high-tech enterprises, and most of them also have the most demand for capital. In addition, patent pledge financing accounts for most of all intellectual property rights pledge financing. Therefore, the research on patent pledge financing system is more purposeful and targeted at enterprises. Then it can really help the small and medium-sized S & T enterprises to get out of the financing dilemma.
