【摘要】：在知识经济飞速发展的今天，知识产权成为所有产业创造财富的核心资源。知识产权出资是把知识产权作为一种特殊的投资形式转换为资本。但是，知识产权的无形性使其出资比其他有形财产出资更具复杂性，在实践中也会产生一些问题，如知识产权出资主体不适格、出资客体不适格以及知识产权价值评估不当。因此需要对知识产权出资进行科学的分析、判断，避免其在出资过程中可能造成的利益损害，防范其在实践中可能发生的风险。本文运用比较研究、综合分析、经验总结等方法，对我国知识产权出资法律问题进行研究。全文除了引言和结论部分之外，分为四个部分进行论述：第一部分是对知识产权出资的理论分析。该部分对知识产权出资的含义、特点、出资的可行性进行分析，这是全文的理论基础和结构依据。第二部分是我国知识产权出资中的法律问题。对出资主体不适格、出资客体不适格、知识产权价值评估不当这三个问题，进行分情况讨论。第三部分是中外知识产权出资的相关立法规定。第四部分是解决我国知识产权出资问题的建议。本部分是文章的核心内容，通过前三部分的分析研究，，从出资主客体、价值评估体系、法律制度等方面提出了解决问题的几点建议。
[Abstract]:With the rapid development of knowledge economy, intellectual property has become the core resource for all industries to create wealth. Intellectual property investment is to convert intellectual property as a special form of investment into capital. The intangibility of intellectual property makes its contribution more complicated than other tangible property, and some problems will arise in practice, for example, the subject of intellectual property contribution is unsuitable. Therefore, it is necessary to scientifically analyze and judge the investment of intellectual property, to avoid the possible damage to the interests caused by the investment, and to guard against the risks that may occur in practice. This paper uses the methods of comparative study, comprehensive analysis, experience summary and so on, to study the legal problems of intellectual property capital contribution in China. It is divided into four parts: the first part is the theoretical analysis of intellectual property capital contribution. This is the theoretical basis and structural basis of the full text. The second part is the legal problems in intellectual property capital contribution in China. The third part is the relevant legislative provisions of intellectual property investment in China and foreign countries. The 4th part is the suggestion to solve the problem of intellectual property capital contribution in China. This part is the core content of the article, through the first three parts of the analysis and research, Some suggestions on how to solve the problem are put forward from the aspects of subject and object, value evaluation system, legal system and so on.
