商业特许经营限制竞争行为法律问题研究

【摘要】:商业特许经营是一种极具魅力的经营模式。可口可乐、迪斯尼、肯德基、麦当劳等众多大家耳熟能详的传奇都是由商业特许经营模式打造出来的。许多企业都通过特许经营的方式实现了企业规模的惊人扩张。在现代市场经济领域中,它体现出了极强的生命力。我国商业特许经营起步时间不长,在其蓬勃发展的同时不可避免的引发了一系列相关的法律问题。在商业特许经营中,特许人为了保护自己的知识产权或者为了维持商业特许经营体系对外的同一性,一般都会对受许人的经营活动进行种种限制。这种限制有其存在的合理性。但是在现实经济生活中,特许人为了获得非法利益,往往滥用自己的权利对受许人采取一些不必要的限制,使受许人丧失了自主选择权。如何对待商业特许经营中的这些限制性竞争行为是我们必须要解决的问题。当前,我国对商业特许经营中的限制竞争行为还处于学术研究阶段,相关法律没有对其进行专门规制。本文拟通过对商业特许经营中的典型限制竞争行为进行分析,比较研究美国、欧盟国家的相关立法,提出完善我国商业特许经营中限制竞争行为法律规制的相关建议。 本文分四部分进行论述:第一部分是对商业特许经营限制竞争行为的概述。首先从商业特许经营基础理论入手,分析了商业特许经营的法律关系及该经营模式的利弊。并在此基础上论述了商业特许经营中限制竞争行为存在的合理性以及法律规制的必要性。第二部分具体分析了商业特许经营中的几种典型的限制竞争行为,包括搭售行为、限制转售价格、地域限制、回授条款以及竞业禁止行为。第三部分在比较美国及欧盟国家相关立法的基础上得出我国对该行为立法规制的启示。第四部分是对我国商业特许经营中限制竞争行为立法现状的评析及对我国完善相关立法的建议。
[Abstract]:Commercial franchise is a very attractive business model.Coca-Cola, Disney, KFC, McDonald's and many other familiar legends are created by the business franchise model.Many enterprises have realized the astonishing expansion of the enterprise scale through the way of franchise.In the field of modern market economy, it embodies a strong vitality.Commercial franchising in our country has not started for a long time, which inevitably leads to a series of related legal problems while its vigorous development.In order to protect their intellectual property rights or maintain the external identity of the commercial franchise system, franchisees generally restrict the franchisee's business activities.This limitation has its existence rationality.But in real economic life, franchisor, in order to obtain illegal benefits, often abuse his right to take some unnecessary restrictions on the franchisee, which makes the franchisee lose his right of choice.How to deal with these restrictive competitive behaviors is a problem that we must solve.At present, the restrictive competition behavior in commercial franchising is still in the stage of academic research, and the relevant laws do not specifically regulate it.Through the analysis of the typical restrictive competition behavior in the commercial franchise, this paper compares the relevant legislation of the United States and the European Union, and puts forward the relevant suggestions to perfect the legal regulation of the restricted competition behavior in the commercial franchise of our country.This paper is divided into four parts: the first part is an overview of commercial franchising to restrict competition.Starting with the basic theory of commercial franchise, this paper analyzes the legal relationship of commercial franchise and its advantages and disadvantages.On this basis, it discusses the rationality of restricting competition and the necessity of legal regulation.The second part analyzes several typical restricted competition behaviors in commercial franchise, including tying behavior, resale price restriction, geographical restriction, back awarding clause and non-competition behavior.In the third part, on the basis of comparing the relevant legislation of the United States and the European Union, the author draws the enlightenment of our country on the regulation of the behavior legislation.The fourth part is the analysis of the current situation of the legislation of restricting competition behavior in China's commercial franchising and the suggestions of perfecting the relevant legislation in our country.
