商标专有权人和商标价值创造者利益分配研究

【摘要】:在传统的商标模型中,商标专有权人通过长期使用商标创造出商标的价值,此时商标价值创造者与专有权人属于同一主体,商标的价值所带来的利益自然归于专有权人。但是现实生活中商标专有权人与商标价值创造者也可能会处于相分离,甚至是相对立的位置,如引起了社会广泛关注的“王老吉”商标纠纷案。我国目前的商标制度重在保护商标注册人的利益,对于不是注册人却是商标价值创造者的保护也只是体现在对恶意抢注他人知名商标情形的惩罚上,但是例如在商标许可使用过程中由被许可使用人创造商标价值等情形中,商标使用人的权益是否应受到保护以及应当如何保护的问题没能在商标法中得到体现。从“王老吉”商标纠纷案中我们可以看到,作为“王老吉”商标价值的真正贡献者——香港鸿道集团,没能享受用自身劳动付出换来的成果,反而成了商标权的侵权者。而商标专有权人——广药集团,则可以在不付出相应成本的情况下坐收本该由价值的创造者获得的利益。很明显,这违背了人们所持的公平正义的观念。经济主体利益上的失衡也会带来经济上的不稳定。随着社会和经济模式的发展,传统的商标权的模式已经无法有效平衡现实中商标中各权利人的利益。商标价值创造的利益需要在价值创造者和商标专有权人之间进行合理的分配,以达到利益的平衡和稳定。本文就是对商标专有权人与商标价值创造者主体分离时两者之间的利益分配问题进行研究。文章分为四个部分:第一部分介绍商标价值与商标价值创造者的一些基本理论,包括商标的价值是怎样形成与发展的,以及商标价值创造者与商标专有权人的关系类型;第二部分深层次分析两者产生利益冲突的原因;第三部分阐述两者利益分配机制的现状,指出其存在的不合理因素,并从三个方面分析合理分配两者利益的应然性,包括民法上已有的原则和规则、国际上的相关理论、知识产权法上的利益平衡原则等,进而引出最后一部分中我国应建立起利益平衡机制来实现利益在两者之间的合理分配的观点;第四部分是从立法上、司法上为我国完善商标制度、建立商标专有权人和商标价值创造者利益平衡机制提供建议,以使商标价值增值利益在两者之间的合理分配更具有可操作性。
[Abstract]:In the traditional trademark model, the trademark exclusive owner creates the value of the trademark through the long-term use of the trademark. At this time, the creator of the trademark value and the exclusive owner belong to the same subject, and the benefits brought by the value of the trademark are naturally attributed to the exclusive owner.However, in real life, the trademark exclusive owner and the creator of trademark value may also be in the opposite position, such as the "Wang Laoji" trademark dispute, which has aroused widespread concern in the society.The current trademark system in China focuses on the protection of the interests of the trademark registrants, and the protection of non-registrants as the creators of trademark value is only reflected in the punishment of malicious preemption of well-known trademarks of others.However, in the case of creating the trademark value by the licensed user in the process of trademark license, whether the rights and interests of the trademark user should be protected and how should be protected are not reflected in the trademark law.From the trademark dispute of Wang Laoji, we can see that Hong Kong Hongdao Group, as a true contributor to the value of Wang Laoji's trademark, failed to enjoy the results paid with its own labor, and instead became the infringer of trademark rights.The trademark exclusive owner-Guang Yao Group, can receive the benefits from the creator of value without paying the corresponding cost.Clearly, this goes against the notion of fairness and justice.The imbalance of economic interests will also bring about economic instability.With the development of social and economic models, the traditional trademark rights model has been unable to effectively balance the interests of the owners of trademarks in reality.The benefits of trademark value creation need to be reasonably distributed between the value creators and trademark exclusive owners in order to achieve the balance and stability of interests.This paper studies the distribution of benefits between trademark exclusive owners and trademark value creators when they are separated.The article is divided into four parts: the first part introduces some basic theories of trademark value and trademark value creator, including how the value of trademark is formed and developed, as well as the relationship between trademark value creator and trademark exclusive owner;The second part deeply analyzes the causes of the conflict of interest between the two parties, the third part expounds the present situation of the mechanism of interest distribution between the two parties, points out the unreasonable factors of their existence, and analyzes the necessity of reasonably distributing the interests of the two parties from three aspects.Including the existing principles and rules of civil law, relevant international theories, the principle of balance of interests in intellectual property law, etc.In the last part, we should set up a mechanism of balancing interests to realize the rational distribution of interests between the two. The fourth part is to perfect the trademark system for our country through legislation and judicature.To establish the mechanism of balancing the interests of trademark exclusive owners and trademark value creators in order to make the rational distribution of the value-added benefits of trademark value more operable.
