【摘要】：股权激励是西方发达企业常用的激励方式,也是近几年中国企业开始加速推广的管理模式,其中民营上市公司由于内部治理结构更合理,外部监管更宽松,逐步成为国内股权激励最主要的实施群体。然而中国民营上市公司股权激励在迅速发展的同时也暴露了不少问题,这些问题弱化了股权激励的有效性,阻碍了民营上市公司的进一步发展。本文基于这样的背景下,选取生物医药行业中自主研发能力高且排名前列的民营上市公司AKSW作为研究样本,通过分析该公司股权激励存在的问题,并针对性提出相关改善建议,以期为其他类似民营上市公司成功实施股权激励提供一定的帮助。本文内容包括六章,首先介绍了本文的研究背景和意义,接着是对国内外文献综述,股权激励的相关概念和理论基础进行简述。之后在该理论基础上展开了 AKSW公司股权激励方案及有效性的分析,其中从实施背景、动机和实施过程对股权激励方案进行描述,从经营绩效状况、投资状况、员工结构状况和科研状况对股权激励有效性进行分析。最后是案例启示、研究结论和展望。本文采用了案例分析法,文献研究法等研究方法,通过对AKSW公司的股权激励方案及有效性进行分析,在此基础上总结其股权激励可借鉴之处和待完善之处,并针对性的提出制定适宜的股权激励方案、建立全面合理的考核指标体系、完善公司内部治理结构和健全相关法律法规四点改善建议,以期能为其他类似的民营上市公司制定股权激励方案时提供一定的借鉴价值。
[Abstract]:Equity incentive is the western developed enterprises used incentives, but also in recent years Chinese enterprises began to accelerate the promotion of the management mode, the private listed companies due to the internal governance structure is more reasonable, more relaxed external supervision, become the main domestic equity incentive implementation groups gradually. However Chinese equity incentives of private listed company while developing rapidly it also exposed many problems, these problems weakened the effectiveness of the equity incentive, hindered the further development of private listed companies. Based on this background, selection of bio pharmaceutical industry in R & D capability and high ranked the forefront of the private listed company AKSW as the research sample, through the analysis of the company's equity incentive problems.
