【摘要】：本研究以我在实际工作中的案例为主要内容,把具体的并购案例进行提纲挈领和归纳总结。通过本研究我想总结出一个新的并购融资方式,把具体操作中存在的问题进行修正,归纳其存在的创新点和一般可操作方案,为以后的企业实践提供一个完善的参照案例。本文结合工作当中的案例并搜集整理了上市公开资料,年报,财务报表,相关书籍,期刊等,归纳出了私募股权投资企业在并购融资上的一个全新融资方式。本文的研究从一般企业的并购融资方式到私募股权投资企业的融资方式展开分析,通过对比研究和量化分析得出信托融资方式的优势所在,然后顺其自然的转到实际案例中单一资金信托在并购融资的方式的运用,最后得出一般的可借鉴意义的结论。论文的最大亮点在于将私募股权投资企业和信托融资结合研究,本是两个方向的研究,通过本文的浅析为私募和信托在并购融资上的创新型应用提供了无限遐想。本文重点阐述了信托在并购融资上的优势,并从案例的实际情况出发论述本案例选择信托进行融资的必要性和现实考虑,通过单一资金信托的方案设计和运用效果的分析,得出信托在并购融资中具有的财务优势和抗风险优势,总结出了利用信托融资进行并购进而通过定向增发方式实现上市获利退出的一种通行模式,为信托在私募股权投资领域的更多应用提供了广阔探讨空间。
[Abstract]:This study is based on the case in actual work and gives a summary of the case of merger and acquisition . Through this study , I would like to summarize a new financing way of M & A , to revise the existing problems in the concrete operation , to sum up the existing innovation point and general operational scheme , to provide a perfect reference case for the future business practice . This paper summarizes the case of the work and collects the public information , annual reports , financial statements , relevant books , periodicals , etc . , and induces a new financing way of private equity investment enterprises in the financing of M & A .

This paper analyzes the financing modes of private equity investment enterprises from the financing mode of M & A financing of general enterprises , obtains the advantages of trust financing methods through comparative study and quantitative analysis , and then turns to the conclusion that the general reference significance is obtained by combining private equity investment enterprises and trust financing . This paper focuses on the research of private equity investment enterprises and trust financing . This paper is a study of two directions . Through the analysis of this paper , the author makes an infinite imagination for the innovative application of private equity and trust in the financing of M & A .

This paper focuses on the advantages of trust in the financing of M & A financing , and discusses the necessity and realistic consideration of this case selection trust from the actual situation of the case . Through the analysis of the scheme design and the application effect of the single fund trust , it is concluded that the trust funds have the financial advantage and the anti - risk advantage in the financing of M & A .
