出口买方信贷国际工程的决策和工作流程研究

【摘要】:带资承包在国际工程中得到普遍应用,而出口买方信贷是国际带资承包的一种重要形式。实践表明,我国企业有能力开展出口买方信贷国际工程,但目前还没有统一的操作规范,也没有一定的决策和工作流程可循,影响到我国对外承包企业参与出口买方信贷国际工程的工作效率与企业发展规划的预期。由此,本论文基于我国承包企业的角度,研究了出口买方信贷国际工程的决策和工作流程,旨在为我国相关企业开展相关业务提供指导和操作指南,促进知识的总结和传播。首先,本论文归纳、对比、分析了目前学术界和业界关于出口买方信贷国际工程工作流程的三种不同角度的划分方法及其特点,在借鉴已有研究成果的基础上,专门从参与此类业务的我国对外承包企业角度出发,将出口买方信贷国际工程的决策流程划分为六个阶段,即发展规划、投标、合同谈判、融资、建设和移交阶段,直接构成了我国对外承包企业参与出口买方信贷国际工程的决策总流程。接着,本论文重点研究了上述六个阶段中前四个阶段的决策和工作流程,并以关系图型对研究成果进行了提炼和图示。其要点包括工程项目信息筛选时需考虑项目来源,了解项目所在国的经济、政治、法律和自然状况等方面的情况,以确定项目目标并对其进行可行性分析和初步的风险识别;工程投标时需认真研究招标文件的内容,抓住国际工程的投标特点,从投标准备、专业研究和投标方案总体优化三个环节入手,适时做出放弃投标还是继续投标的决策;合同谈判时应围绕谈判主题,不同阶段采取不同的谈判策略,直至最终顺利签约;办理出口买方信贷和保险业务时,均需经历申请、调研、受理、协商和签约过程。在对上述决策与工作流程分析、研究的过程中,对参与出口买方信贷国际工程中的关键环节和问题也一并进行较深入地分析和研究,例如,商务合同谈判时必须与融资方案的洽谈相结合,考虑两个合同的生效期、合同成本以及有效期之间的相互关系;要认真解读并有效运用国家对出口买方信贷国际工程的各项支持政策,以实现企业发展规划的目标;要对出口买方信贷项下各方支持关系等进行具体分析、研究,争取获得各相关方的支持来开展国际工程。最后,本文对T工程公司利用出口买方信贷承包非洲加蓬锰金属项目的实例进行应用研究。结果表明,本文所建立的决策和工作流程是合理的,对实际操作具有指导作用,对其他类似涉外贸易、承包和投资业务也有借鉴意义。
[Abstract]:Banded capital contracting is widely used in international engineering, and export buyer's credit is an important form of international investment contracting. Practice has shown that Chinese enterprises have the ability to carry out the international project of export buyer's credit, but at present there is no unified operation standard, and there is no certain decision-making and work flow to follow. It affects the working efficiency of China's foreign contracting enterprises to participate in the international project of export buyer's credit and the expectation of enterprise development plan. Therefore, based on the perspective of Chinese contracting enterprises, this paper studies the decision making and work flow of the international project of export buyer's credit, aiming at providing guidance and operational guide for the relevant enterprises to carry out relevant business, and promoting the summary and dissemination of knowledge. First of all, this paper induces, compares and analyzes three different ways of dividing the international engineering workflow of export buyer's credit in academia and industry at present, and draws lessons from the existing research results. From the perspective of China's foreign contracting enterprises engaged in this kind of business, the decision-making process of the international project of export buyer's credit is divided into six stages, namely, the stages of development planning, bidding, contract negotiation, financing, construction and transfer. It directly constitutes the decision-making process of China's foreign contracting enterprises participating in the international project of export buyer's credit. Then, this paper focuses on the decision-making and workflow of the first four stages of the above six phases, and refines and illustrates the research results with the relational graph. Its main points include the need to consider the source of the project, to understand the economic, political, legal and natural conditions of the country in which the project is located, to determine the project objectives and to carry out a feasibility analysis and preliminary risk identification; It is necessary to carefully study the contents of bidding documents, grasp the characteristics of international project bidding, start with the three links of bid preparation, professional research and overall optimization of bidding scheme, and make timely decision whether to give up bidding or to continue bidding. In contract negotiation, different negotiation strategies should be adopted at different stages, and the export buyer's credit and insurance business should all go through the process of application, investigation, acceptance, negotiation and signing. In the process of studying the above decision making and workflow analysis, the key links and problems in the international engineering of export buyer's credit are also analyzed and studied in depth, for example, The negotiation of commercial contract must be combined with the negotiation of financing scheme, and the relationship between the effective period of the two contracts, the contract cost and the validity period should be considered. It is necessary to carefully interpret and effectively apply the state's support policies for the international project of export buyer's credit, in order to realize the objectives of the enterprise development plan, and to make a concrete analysis and study of the relationship between the parties' support under the export buyer's credit, Seek the support of all relevant parties to carry out international projects. Finally, this paper studies the application of T engineering company to export buyer's credit contract project of Gabonese manganese metal in Africa. The results show that the decision-making and workflow established in this paper are reasonable and can be used for reference to other similar foreign trade contracting and investment businesses.
