【摘要】：作为我国金融体系的一部分，信托公司是唯一横跨货币、资本与实业市场的金融机构之一。与其他金融机构比较而言，信托公司的主要优势主要体现在其业务功能多样、涉足领域广泛、金融工具丰富与运作方式灵活等方面。鉴于信托公司的上述特点，越来越多的企业集团已入主信托公司。信托公司一方面可作为融资、投资及资产管理的工具，另一方面也可作为发展金融板块的最佳切入点，，因而是相对理想的收购标的。本文首先通过对国内企业集团开展信托业务的概况、产融布局、产融结合模式以及信托结合模式进行深入剖析，并以华能集团产融结合开展信托的实际案例进行剖析为ZGH集团信托业务开展提供借鉴基础；其次，本文深入分析了ZGH集团开展信托业务的战略性意义，即包括：为企业提供融资渠道，多样化的融资方式，完善的科学投资平台，推进企业集团实现资本运营并为企业未来发展奠定坚实基础；第三，本文针对ZGH集团收购信托业务的具体因素进行分析，包括：信托业务的发展背景、发展目的、发展条件、发展风险状况等内容；第四本文通过ZGH集团关于M信托的收购策略分析，提出了具体的收购步骤、以及财务指标测算及收益分析；第五，本文借鉴国内企业集团发展信托业务的成功经验，提出ZGH集团发展信托业务的对策建议。包括：业务结构与主导产品模式、经营与盈利模式、风险管理策略以及应对产融结合各类问题采取的措施等。
[Abstract]:As part of our financial system, trust companies are the only financial institutions that straddle the currency, capital and industrial markets. Compared with other financial institutions. The main advantages of the trust company are mainly reflected in its diverse business functions, extensive involvement in the field, rich financial instruments and flexible operation, etc. In view of the above characteristics of the trust company. More and more enterprise groups have become owners of trust companies, which, on the one hand, can be used as instruments for financing, investment and asset management, on the other hand, as the best entry point for the development of the financial sector. Therefore, it is a relatively ideal acquisition target. Firstly, this paper analyzes the general situation of trust business, the layout of industry and finance, the mode of combination of industry and finance, and the mode of combination of trust and finance in domestic enterprise groups. And with Huaneng Group industry and finance to carry out the actual case of trust analysis for ZGH group trust business to provide a reference basis; Secondly, this paper deeply analyzes the strategic significance of ZGH Group to carry out trust business, including: providing financing channels for enterprises, diversified financing methods, perfect scientific investment platform. Promote enterprise group to realize capital operation and lay a solid foundation for the future development of enterprise; Third, this paper analyzes the specific factors of ZGH Group's acquisition of trust business, including: the background of trust business development, development purpose, development conditions, development risk situation and so on; 4th based on the analysis of M trust acquisition strategy of ZGH Group, this paper puts forward the specific acquisition steps, as well as the calculation of financial indicators and income analysis; In 5th, this paper draws lessons from the successful experience of developing trust business in domestic enterprise groups, and puts forward the countermeasures and suggestions for ZGH group to develop trust business, including: business structure and dominant product model, management and profit model. Risk management strategy and measures to deal with various problems.
