中小板上市公司股本扩张影响因素的实证分析

【摘要】：股本扩张是指股份有限公司增加股本的行为。我国上市公司普遍存在着股本扩张现象,而这一现象在中小板块表现的尤为突出。据统计,2010共有218家中小板上市公司宣布送转股,占中小板上市公司总数的50.58%。上市公司这种盲目送转扩张股本的行为不仅严重影响了投资者的理性投资,而且也影响着上市公司和证券市场的健康发展。因此,对中小板上市公司股本扩张的影响因素进行分析,对上市公司、证券市场和投资者都有重要的意义。本文运用规范研究和实证分析相结合的方法对我国中小板上市公司股本扩张的影响因素进行研究。文章分为六个部分。第一部分“绪论”,简要介绍选题的背景和意义、研究内容与论文的基本框架、研究方法和创新点等；第二部分“股本扩张的相关理论与文献综述”,分析总结国内外学者对上市公司股本扩张行为的研究成果；第三部分“中小板上市公司股本扩张的现状分析”,以我国2010年4月30日前有股本扩张行为的中小板上市公司为样本,分析其股本扩张的现状及趋势；第四部分“股本扩张的影响因素及描述性统计”,对中小板上市公司股本扩张的影响因素进行描述性统计,选定显著相关的影响因素；第五部分“股本扩张影响因素的实证分析”,运用主成分回归法进行实证研究,得出实证结果；第六部分“相关问题与建议”,根据实证分析得出的结论以及中小板上市公司存在的问题,从监管部门、上市公司和投资者诸方面提出合理的建议。
[Abstract]:Equity expansion is the act of increasing the share capital of a company limited by shares. China's listed companies generally exist the phenomenon of equity expansion, and this phenomenon is particularly prominent in the small and medium plate. According to statistics, 218 small and medium-sized board listed companies announced the transfer of shares, accounting for 50.58% of the total number of small and medium-sized board listed companies. This behavior of blindly transferring and expanding equity not only seriously affects the rational investment of investors, but also affects the healthy development of listed companies and the securities market. Therefore, it is of great significance for listed companies, securities markets and investors to analyze the factors affecting the equity expansion of small and medium-sized listed companies. This paper uses the method of normative research and empirical analysis to study the influence factors of equity expansion of small and medium-sized listed companies in China. The article is divided into six parts. The first part "introduction" briefly introduces the background and significance of the topic, the research content and the basic framework of the paper, research methods and innovation points, etc. The second part, "the theory of equity expansion and literature review", The third part is "Analysis of the present situation of Equity expansion of small and Medium-sized Board listed companies". The present situation and trend of equity expansion of small and medium-sized board listed companies in China prior to April 30, 2010 are analyzed, and the fourth part, "influencing factors and descriptive statistics of equity expansion", is analyzed. This paper makes descriptive statistics on the influencing factors of equity expansion of small and medium-sized listed companies, and selects the significant related influencing factors. The fifth part is "empirical analysis of the influencing factors of equity expansion", which uses principal component regression method to carry out empirical research. The sixth part "related problems and suggestions", according to the conclusions of empirical analysis and the problems of small and medium-sized board listed companies, put forward reasonable suggestions from the regulatory authorities, listed companies and investors.
