分类管理视域下我国混合所有制院校所有权界定及其治理模式

【摘要】：随着营利性与非营利性学校分类管理政策的颁布与实施,我国混合所有制院校财产所有权的"公私混合,非公非私"特性给学校财产所有权的界定和学校法人治理机制安排带来一系列新的难题。对此,混合所有制院校改革的实质是财产所有权的"公私混合,非公非私",明确混合所有制院校的营利与非营利属性是财产所有权界定的前提条件;营利性院校的财产所有权遵循所有权与经营权相分离的原则,学校财产所有权归出资者拥有,学校法人享有经营权,采取股东会与董事会分层治理模式;非营利性院校财产所有权归学校法人所有,采取董事会单层治理模式。
[Abstract]:With the promulgation and implementation of the policy of classified management of for-profit and non-profit schools, the property ownership of colleges and universities under mixed ownership in China is "public-private mixed". The characteristics of non-public non-private bring a series of new problems to the definition of school property ownership and the arrangement of school corporate governance mechanism. In view of this, the essence of the reform of mixed ownership colleges is "the combination of public and private ownership, non-public and non-private", and it is the precondition of defining property ownership to make clear the profit-making and non-profit attributes of the mixed ownership colleges and universities. The property ownership of for-profit colleges follows the principle of separation of ownership and management. The ownership of school property is owned by the investors, and the legal person of the school has the right to operate, adopting the governance model of the shareholders' meeting and the board of directors. The property ownership of non-profit colleges and universities is owned by the legal person of the school and adopts the single-level governance model of the board of directors.
