知识产权证券化若干问题研究

【摘要】：在知识经济引领世界经济潮流的今天,知识产权在当今社会中的地位毋庸置疑。近年来,我国更是将知识产权战略提高到国家发展战略的高度,那么如何发掘知识产权的内在价值,怎样充分利用知识产权就成为社会和学界研究探讨的主要方向。从上世纪70年代资产证券化在美国被开发出来以后,资产证券化的规模及领域急剧扩张,在全球逐渐得到广泛关注。随着资本市场的繁荣发展,充满活力的新生力量——知识产权证券化应运而生。自1997年里程碑式的“鲍伊证券”出现以来,知识产权证券化实践虽然只经历了短短的20年,但其带来的价值逐渐得到社会和学界重视。知识产权证券化的开展,对于解决中小科技企业融资难题,降低知识产权所有人风险,提升知识产权转化率,繁荣资本市场,促进我国经济结构转型,推动我国科技发展建设创新型国家都具有重大意义。文章以知识产权证券化为核心,法律和经济为视角,以基本概念阐述、现状问题分析、国外发展状态与启示、制度完善法律建议四步为逻辑顺序,逐步展开论述。首先,对知识产权证券化的特征、意义和证券化过程中的主体、客体以及法律关系进行分析阐述,同时对知识产权证券化的流程进行梳理。其次,对我国知识产权证券化的相关政策及发展现状进行分析,然后详细阐述我国发展知识产权证券化的可行性与必要性,并提出我国发展知识产权证券化存在的主要法律问题。再次,文章分别对知识产权证券化的起始国美国和与我知识产权证券化发展趋势相似的日本的发展现状和法制环境进行比较、分析,提出在知识产权证券化的发展过程中,健全的法律制度是保障、政府的政策引导是方向、繁荣的资本市场是支撑、知识产权的保护是基础。最后,通过对上文内容的分析论述,从完善法律制度、提高扶持力度以及完善相关市场培育机制三个方面提出适合我国发展知识产权证券化的若干立法和实践建议。
[Abstract]:Today, when the knowledge economy is leading the world economic trend, the position of intellectual property in today's society is beyond doubt. In recent years, our country has raised the intellectual property strategy to the height of the national development strategy. So, how to explore the intrinsic value of intellectual property and how to make full use of intellectual property has become the main direction of social and academic research. Since -30s, when asset securitization was developed in the United States, The scale and scope of asset securitization has expanded rapidly, and has gradually gained wide attention in the world. With the development of the capital market, Intellectual property securitization emerged as the times require. Since the landmark "Bowie Securities" appeared in 1997, the practice of intellectual property securitization has only experienced a short period of 20 years. However, the value brought by the securitization of intellectual property has been paid more and more attention by both the society and the academic circles. It is of great significance to promote the transformation of China's economic structure and to promote the development of science and technology in China and to build an innovative country. This paper takes intellectual property securitization as the core, law and economy as the perspective, expounds the basic concepts, and analyzes the current situation. The development status and enlightenment of foreign countries, the four steps of legal advice to perfect the system are logical order, and the discussion is carried out step by step. Firstly, the characteristics, significance, subject, object and legal relationship in the process of intellectual property securitization are analyzed and expounded. At the same time, the process of intellectual property securitization is combed. Secondly, the related policies and development status of intellectual property securitization in China are analyzed, and then the feasibility and necessity of developing intellectual property securitization in China are expounded in detail. And put forward the main legal problems in the development of intellectual property securitization in China. This paper compares the current situation and legal environment of intellectual property securitization between the United States, the starting country of intellectual property securitization, and Japan, where the development trend of intellectual property securitization is similar to that of China, and points out that in the process of development of intellectual property securitization, A sound legal system is the guarantee, the government's policy guidance is the direction, the prosperous capital market is the support, and the protection of intellectual property rights is the basis. Some legislative and practical suggestions for the development of intellectual property securitization in China are put forward.
