盈天医药并购同济堂企业文化整合案例分析

【摘要】:随着全球化的浪潮,越来越多的企业开始选择通过并购的方式来实现业绩的高成长。然而,令人遗憾的是,市场成功的并购并不多见。相关统计资料表明,70%的并购从长远来看都是失败的,导致失败的原因很多,其中最重要的原因就是并购后的文化整合的问题。 盈天医药是由中国最大的健康产业集团—中国医药集团总公司控股的大型综合性现代医药企业,在香港联合交易所主板上市的上市公司。盈天医药在2013年下半年对贵州同济堂进行并购,并开始进行企业文化整合。文化整合到2013年10月份完成第一阶段,整合过程中,整个公司人员基本稳定,业绩平稳增长,整合效果良好,成为2013年国内医药企业整合的成功案例。 本文在论述国内外关于企业文化及文化整合的相关理论和实践经验基础上,通过文献分析,,案例分析的方法,研究盈天医药并购同济堂的文化整合过程。对其文化整合的成功的因素进行总结,总结出了并购前并购对象文化了解和评估;文化整合的模式和具体方案;高层重视行动迅速;建立良好、沟通的平台;持续传递正能量这五个影响文化整合成功的因素。目前,国内企业的并购越来越频繁,医药企业更是身处并购的大潮之中,希望本文能够对于中国企业特别是医药企业在未来并购中的企业文化整合提供可以借鉴的个案材料和成功经验。
[Abstract]:With the tide of globalization, more and more enterprises begin to adopt M & A to achieve high performance. Unfortunately, however, successful mergers and acquisitions are rare. The related statistics show that 70% of M & A is failed in the long run, and there are many reasons for failure, the most important of which is the cultural integration after M & A. Yingtian Pharmaceutical is a large comprehensive modern pharmaceutical company controlled by China National Pharmaceutical Group Corporation, the largest health industrial group in China. It is listed on the main board of the Stock Exchange of Hong Kong. In the second half of 2013, Yingtian Medicine merged with Jitang in Guizhou, and began to integrate corporate culture. The first stage of cultural integration was completed in October, 2013. In the process of integration, the whole company is basically stable, its performance grows steadily, and the integration effect is good. It has become a successful case of domestic pharmaceutical enterprises' integration in 2013. Based on the theory and practice of corporate culture and cultural integration at home and abroad, this paper studies the process of cultural integration of Yingtian Medical merger and acquisition by means of literature analysis and case analysis. The successful factors of its cultural integration are summarized, and the cultural understanding and evaluation of the M & A object before M & A; the mode and concrete scheme of cultural integration are summarized; the high level attaches great importance to the action quickly; the platform of good communication is established; Continuous transfer of positive energy these five factors affecting the success of cultural integration. At present, mergers and acquisitions of domestic enterprises are becoming more and more frequent, and pharmaceutical enterprises are in the midst of a tide of mergers and acquisitions. It is hoped that this paper can provide the case material and successful experience for Chinese enterprises, especially pharmaceutical enterprises, in the integration of corporate culture in future mergers and acquisitions.
