三一重工海外并购后期整合策略研究

【摘要】:2012年我国企业海外并购风生水起,接踵而至,工程机械行业海外并购更是占据了重要地位,,交易额占整个制造业并购的45%。但是,我国关于工程机械企业的海外并购整合研究中,很多并没有结合具体某个企业的经营和发展状况,同时企业没有国际运营经验,很难真正发掘出企业海外并购整合中的现实困难。因此,本文从当前工程机械海外成功并购的案例,探讨我国企业海外并购的整合问题和经验,以期为其他企业的并购提供更好的借鉴。 首先,本文从核心能力和整合的定义及两者的辩证关系出发,探索整合是企业进行海外并购价值提升的根源。通过对企业核心能力和海外并购整合的相互关系分析,运用企业能力理论和竞争力等基础理论,概括了整合竞争力的核心概念。从战略的匹配性、并购的类型、并购目的、资产特征和被并购方对组织独立性的需要程度五个方面构建整合竞争力的框架。 其次,在分析工程机械行业并购的相关背景下,运用案例分析法,对工程机械行业整体海外并购过程进行介绍。结合行业内企业的并购实践,针对三一重工海外并购德国普茨迈斯特的主要动机,分析三一重工海外并购面临的主要风险。 再次,本文根据构建的整合框架,选取共生型整合方式,对三一重工海外并购遇到的问题进行分析,并针对遇到的问题提出相应整合策略。运用杜邦分析检验三一重工海外并购后的整合效果,梳理三一重工海外并购后的核心能力的变化。 最后,根据三一重工的此次并购的具体实践,提出对我国工程机械行业海外并购的相关建议。
[Abstract]:In 2012, the overseas mergers and acquisitions of Chinese enterprises began, followed by the construction machinery industry overseas mergers and acquisitions occupied an important position, accounting for 45% of the total manufacturing mergers and acquisitions. Without international operation experience, it is difficult to find out the real difficulties in the integration of overseas M&A. Therefore, this paper discusses the integration problems and experiences of overseas M&A of Chinese enterprises from the current successful cases of overseas M&A of construction machinery in order to provide better reference for other enterprises.
Firstly, based on the definition of core competence and integration and the dialectical relationship between them, this paper explores the origin of the value promotion of overseas M&A by integrating the core competence of enterprises and the integration of overseas M&A. The framework of integrated competitiveness is constructed from five aspects: the matching of strategy, the types of mergers and acquisitions, the purpose of mergers and acquisitions, the characteristics of assets and the needs of the acquired parties for organizational independence.
Secondly, in the context of M&A of construction machinery industry, this paper introduces the whole process of overseas M&A of construction machinery industry by using case analysis method.
Thirdly, according to the integration framework, this paper chooses the symbiotic integration mode to analyze the problems encountered in Sany Heavy Industry's overseas M&A, and puts forward the corresponding integration strategies.
Finally, according to the specific practice of Sany Heavy Industry's M&A, this paper puts forward some suggestions on overseas M&A of construction machinery industry in China.
