【摘要】：本课题主要研究新三板市场建立转板机制的必要性及面临的相关问题,并提出如何建立符合我国国情的转板制度。主要内容包括四个部分:第一部分介绍我国新三板市场运行现状,对新三板的最新市场情况进行数据统计分析;第二部分介绍转板机制的基本概念,阐述转板机制的含义、基本类型、遵循原则和重要意义,提出新三板引入转板机制的必要性和重要作用;第三部分介绍境外发达国家以及其他成熟资本市场的层次结构和转板制度现状,着重对美国、英国、日本、台湾市场转板制度进行了研究,吸取境外资本市场发展经验并加以归纳,提出对于我国建立转板机制的借鉴意义;第四部分研究如何建立我国新三板市场转板路径,提出分层管理和转板上市两步走的转板路径。
[Abstract]:This paper mainly studies the necessity of establishing the mechanism of the new third board market and the related problems. The main contents are as follows: the first part introduces the current situation of the new third board market in our country, and makes statistical analysis on the latest market situation of the new third board. The second part introduces the basic concept of the turntable mechanism, expounds the meaning, basic types, principles and important significance of the mechanism, and puts forward the necessity and important role of the new three-board mechanism. The third part introduces the hierarchical structure of overseas developed countries and other mature capital markets and the current situation of the system, focusing on the United States, the United Kingdom, Japan, Taiwan market transfer system. Draw on the overseas capital market development experience and sum up, put forward for our country to establish the transfer mechanism of reference significance; In the 4th part, the author studies how to set up the new third board market transfer path in China, and puts forward the two-step transfer path of delamination management and the listing of the new third board market.
