推动我国并购基金发展的对策研究

【摘要】：在我国实体经济面临产能过程、重复建设的背景下，设立并购基金有利于充分利用资本市场这一载体促进经济转型、产业升级。并购基金在我国处于起步阶段，研究并购基金在理论上和实践中具有重要意义。除去引言和结语，本文拟分四章。第一章阐释与产业并购基金相关的核心概念，介绍产业并购基金的运行机制，重点分析产业并购基金的实践意义。第二章阐述产业并购基金在国外的发展现状。从国外产业并购基金的发展历史、现实等方面揭示产业并购基金运行的一般规律性认识，从而为我国产业并购基金借鉴外国先进经验提供路径依赖。第三章分析了我国产业并购基金的运行现状。着重指出了我国产业并购基金运行的制度环境、运行模式和存在的主要问题，为提出我国产业并购基金的发展对策提供前提条件。第四章是我国产业并购基金的发展战略思考，，从目标模式、政策措施、监管机制等几个方面提出了具体性的意见和建议。
[Abstract]:Under the background of productive capacity process and repeated construction in the real economy of our country, the establishment of M & A fund is beneficial to make full use of the capital market as a carrier to promote economic transformation and industrial upgrading. M & A fund is in its infancy in our country. It is of great significance to study M & A funds in theory and practice. Apart from the introduction and conclusion, this paper is divided into four chapters. The first chapter explains the core concepts related to the industrial M & A fund, introduces the operating mechanism of the industrial M & A fund, and analyzes the practical significance of the industrial M A fund. The second chapter describes the development of industrial M & A funds in foreign countries, from the development of foreign industrial M & A funds history, reality and other aspects to reveal the general understanding of the operation of industrial M & A funds. So as to provide path dependence for China's industrial M & A fund to learn from foreign advanced experience. The third chapter analyzes the current situation of industrial M & A fund operation in China, and emphatically points out the system environment, operating mode and main problems of industrial M & A fund operation in China. In order to put forward the development of China's industrial M & A fund to provide preconditions. Chapter 4th is the strategic thinking of the development of China's industrial M & A fund, and puts forward some concrete suggestions and suggestions from the aspects of target mode, policy measures, supervision mechanism and so on.
