【摘要】：多年来,国内中小企业快速发展,许多中小企业正在发展一些新兴市场,市场驱动经济增长也十分快速。正在快速发展中的中小企业是发展的基石。有很多方法可以赚钱,但最直接的方式是通过债券市场。但现在,中小企业缺乏政府支持,缺乏信任机制,其中许多优秀的中小企业缺乏资金帮助。欧美私募股权非常普遍的进行着快速发展,为现有融资市场增加了私募股权债务,以满足发行人不同的融资需求。为了扩大小微企业的融资渠道,也要加快这些企业的融资,我们必须要着力支持中小企业的发展,大力推进私募股权融资是势在必行的。首先,本文运用了归纳分析、对比分析及案例分析等研究方法,理论与实践相结合,从多个角度介绍昆明交通产业有限公司的基本情况,对昆明交通产业有限公司发行中小企业私募债的案例进行研究分析,通过私募债的相关理论概述进行分析,中小企业私募债的发展历程及现状,对发行主体的要求,优势与劣势,评级机构,融资风险等方面进行分析。其次,对昆明交通产业有限公司私募债的交易结构进行分析,同事结合利率分析对私募债信用风险、增信措施等进行研究,从多个角度解析昆明交通产业有限公司私募债方案设计中值得借鉴的以及有问题需要注意的地方,这样可以提高私募债的发行速度并且降低私募债风险。私募债方案设计的优化,中小企业融资模式的方向,都可以从本文最后展示的中小企业私募债的优缺点中进行学习。
[Abstract]:Over the years, domestic small and medium-sized enterprises are developing rapidly, many SMEs are developing some emerging markets, market driven economic growth is also very fast. Small and medium-sized enterprises which are developing rapidly are the cornerstone of development. There are many ways to make money, but the most direct way is through the bond market. But now, SMEs lack government support and trust mechanisms, and many of them lack financial support. Private equity is developing rapidly in Europe and the United States, adding private equity debt to the existing financing market to meet the different financing needs of issuers. In order to expand the financing channels of small and micro enterprises, but also to accelerate the financing of these enterprises, we must focus on supporting the development of small and medium-sized enterprises, vigorously promote private equity financing is imperative. First of all, this paper introduces the basic situation of Kunming Transportation Industry Co., Ltd from many angles by using the research methods of inductive analysis, comparative analysis and case analysis, combining theory with practice. This paper studies and analyzes the case of Kunming Transportation Industry Co., Ltd. issuing private debt for small and medium-sized enterprises, analyzes the development course and present situation of private equity debt of small and medium-sized enterprises, and the requirements of the issuing subject through the summary of the theory of private equity debt. Strengths and weaknesses, rating agencies, financing risks and other aspects of analysis. Secondly, the paper analyzes the trading structure of private equity debt of Kunming Communications Industry Co., Ltd., and colleagues study the credit risk and credit enhancement measures of private equity debt in combination with interest rate analysis. This paper analyzes the problems and problems in the design of private debt scheme of Kunming Transportation Industry Co., Ltd. from many angles, which can improve the issuing speed of private debt and reduce the risk of private debt. The optimization of private debt scheme design and the direction of SME financing model can be learned from the advantages and disadvantages of SMEs private debt shown at the end of this paper.
