阿尔及利亚东西高速公路项目合同管理与风险管理研究

【摘要】:国际工程承包是我国对外经济合作的重要内容之一。三十多年来,我国国际工程承包事业经历了从起步到发展、壮大的过程,取得了令人瞩目的成就,在国际工程承包市场已占有了相当的份额,并取得了良好的声誉。然而,在经营规模和利润水平方面,我国对外工程承包企业与国际著名大型承包商相比还存在较大差距。近年来在某些国别的个别重大项目上连续遭遇失败,凸显了我国企业在设计—采购—施工(EPC)、设计—建造(DB)等复杂的国际工程项目上,管控能力的欠缺,这种情况在中高端工程承包市场尤显突出。究其深层次原因,是由于较一般工程承包项目而言,EPC、DB类项目对承包商的合同管理和风险管理能力要求更高。 在国际工程承包界颇有影响的阿尔及利亚东西高速公路项目,中西标段合同金额62.5亿美元,已于近期全线贯通。在该项目投标阶段,我国企业与世界著名的大型承包商同台竞争,取得了伟大胜利;在项目实施阶段,我国企业又再次超越承担其他标段实施的国际同行率先完工赢得了业主和当地民众的赞誉。尽管项目已经成功实施,但是在项目的投标和实施管理中,尤其是在合同管理和风险管理方面仍然有很多经验值得我们总结,有很多教训需要我们反思。 论文第二章总结了国际设计建造项目管理核心的基础知识,归纳了国际设计建造项目合同管理及风险管理的特点、主要内容及一般程序;并详述了作为研究对象的阿尔及利亚东西高速公路项目的追踪和实施的背景情况。论文的第三章深入研究了阿尔及利亚东西高速公路项目的主合同管理及分包合同管理工作,分析了该项目合同管理中存在的问题以及相应的解决措施。论文第四章深入研究了阿尔及利亚东西高速公路项目的风险管理工作,详细的分析了承包商在该项目签约前及实施过程中的风险分析、以及相应的风险应对措施并评价这些措施的效果。 总之,本论文深入分析了阿尔及利亚东西高速公路项目实施中的实际情况,研究了该项目以及此类工程项目合同签订前、实施中在合同管理和风险管理方面需要注意的问题,以及主要工作和技巧,并对存在的问题提出了一系列建议,旨在为今后中国企业实施同类项目提供借鉴。
[Abstract]:International project contracting is one of the important contents of our country's foreign economic cooperation. In the past thirty years, China's international engineering contracting has experienced the process from start to development, and has made remarkable achievements. It has occupied a considerable share in the international engineering contracting market and has gained a good reputation. However, in terms of business scale and profit level, there is still a big gap between China's foreign project contracting enterprises and international famous large contractors. In recent years, several major projects in some countries have suffered successive failures, which highlights the lack of control ability of Chinese enterprises in complex international engineering projects, such as design-procurement-construction (EPC), design-construction (DB), etc. This situation is particularly prominent in the high-end project contracting market. The deep reason is that the EPC-DB project requires higher contract management and risk management ability than the general project. The East-West Expressway Project in Algeria, which has a considerable influence in the international engineering contracting community, has been completed in the near future with a contract value of US $6.25 billion between China and the West. In the bidding stage of the project, the enterprises of our country competed with the famous large contractors in the world and won a great victory. Chinese enterprises once again overtook other international peers to complete the project and won praise from the owners and local people. Although the project has been successfully implemented, there are still many experiences in the bidding and implementation management of the project, especially in contract management and risk management. The second chapter summarizes the basic knowledge of international design and construction project management, and summarizes the characteristics, main contents and general procedures of international design and construction project contract management and risk management. The background of tracking and implementation of the East-West Expressway Project in Algeria, which is the object of study, is described in detail. The third chapter studies the main contract management and subcontract management of the East-West Expressway Project in Algeria, analyzes the problems existing in the contract management of the project and the corresponding solutions. Chapter four studies the risk management of the East-West Expressway Project in Algeria, and analyzes the risk analysis of the contractor before and during the implementation of the project. And the corresponding risk response measures and evaluation of the effectiveness of these measures. In a word, this paper deeply analyzes the actual situation in the implementation of the East-West Expressway Project in Algeria, and studies the problems that should be paid attention to in the contract management and risk management before the signing of the contract for the project and this kind of project. It also puts forward a series of suggestions on the existing problems in order to provide reference for Chinese enterprises to carry out similar projects in the future.
