【摘要】：信托制度的发展历史悠久,在西方信托作为一种法律制度构建广泛应用于民事、商事和金融领域,并伴随金融的不断创新得到广泛的运用。但信托制度在我国的引进却遭遇坎坷,从改革开放恢复信托业发展以来,信托业不断遭受清理整顿,对我国信托业定位的探讨也经历了不断思索和扬弃的过程。如果说信托业的发展史是我国金融体制改革的一个缩影,那么,伴随我国金融发展的不断深化,信托业也是我国由金融抑制走向金融市场化、由政府外生构建的体制架构走向市场内生演化的推进者和见证者。本文立足于我国金融发展的大背景环境,深入探讨研究了信托业的前世今生以及在我国发展的过去、现在和未来,以制度经济学理论为基础探讨金融抑制环境中我国信托业的演进历史,以金融发展理论为导向论证了金融市场化过程中金融发展与信托业发展的互动关系,从而对利率市场化不断推进、混业经营趋势显现、大资管大信托时代特征下信托业未来的发展进行了思索,并在理论层和实务层上提出有效的政策建议。本文共分八个章节对问题进行了论述。第一章,导论。提出了本文要研究的问题和本文的立意,并对研究的意义、研究方法、文章的创新点和文章架构进行了阐述,是全文的概览。第二章,文献综述与理论框架。分别对金融发展和信托业功能演进的国内外研究进行了较为详尽的综述,并对信托相关概念进行了较为清晰的界定,从而理清国内外研究现状,对本文的研究提供有价值的参考,也为后文的分析做好理论铺垫。在综述的基础上,本章节提出了本文金融发展与信托业功能演进的研究框架,使后文的分析逻辑更清晰,引据更充分,架构更紧密。第三章,国外信托业功能演进情况。对信托业发展特色突出、代表性强且具有历史标志性的英、美、日三国信托业功能演进进行了详细的分析,通过对各国信托业的历史演变、发展特点、功能演进推动因素的综合分析,发现各国信托业发展演进的共同推进因素、差异及未来发展趋势,从而为我国信托业的功能演进提供良好的对照标准和有益的启示第四章,我国金融发展进程分析——基于改革探索和金融发展指数构建的分析。我国金融发展是本文分析研究信托业功能演进的大背景和脉络主干。通过对我国金融体制改革发展历程回顾,对我国金融发展进行了理论上的分析；通过对我国货币化发展趋势以及货币市场化、资本市场化、金融机构市场化情况的分析,对我国金融发展进行了量化的考察；通过对金融发展指数的构造,对我国金融发展进程进行了大致的划分,认为2005年之前我国金融发展基本处于高度抑制状态,而2006年以来金融发展向着市场化轨道不断迈进,信托业的发展与此脉络基本吻合且具有一定的先行性,在此分析划分基础上第五章、第六章分别就金融抑制、金融市场化进程中信托业的发展进行了论述。第五章,金融抑制下我国信托业功能演进——基于政府外生构建的制度变迁分析。运用新古典制度经济学的制度变迁理论以及国内学者对制度变迁的研究结论,将我国信托业的演进历史置于制度变迁理论的研究框架中,讨论了金融抑制下信托业功能发挥存在的问题,并对政府主导下我国信托制度的强制性变迁、变迁效率、路径依赖进行了评价,认为我国信托制度变迁历经整顿却难以摆脱功能错位、治乱怪圈的原因在于金融抑制下基于政府外生构建的信托制度承担了部分改革先锋的职能,信托制度的变迁存在较为严重的路径依赖,2001年后信托“一法两规”的施行对打破路径依赖进行信托制度的重构有重大作用,在金融市场化发展趋势下,诱致性制度变迁力量的影响力会愈加彰显。第六章,金融市场化进程中我国信托业的功能演进——基于市场内生演化的现状分析。从我国金融市场化远远滞后于商品市场化、仍未完全解决二元体制或双轨制问题、存在“制度逆行”问题三个角度提出了我国金融市场化的特点,从而更好的理解我国信托功能演进的特点和问题存在的深层次根源,在此基础上分析了货币市场化、资本市场化与信托业发展的互动关系,并深入论述了利率市场化推进过程中、金融混业趋势下、财富管理纵深发展的金融环境下信托业的发展问题。第七章,我国信托业发展功能定位探讨——未来布局与政策建议。在前文论述的基础上,这一部分主要对信托业发展定位及功能演进中政府、市场发挥作用的界限、范围、力度提供建议,对我国信托业未来发展路径及行业布局进行了初步的假设和构想,并对信托业未来的发展及可创新的模式进行了思考。第八章,结束语。回顾文章写作的初衷并对文章的主要观点进行了总结。
