【摘要】：随着我国经济的飞速发展,资本市场随着市场的需要也在不断成长。目前,我国众多中小企业的融资需求日益强烈,各种融资渠道也随之涌现,私募股权投资行业在这种情况下得到了发展。私募股权投资在我国属于比较新的行业领域,发展时间较短,因此许多私募机构在业务拓展领域都处在探索阶段,加之行业政策与法律体系不完善,使得私募机构在业务发展中面临着较大的风险。A私募基金公司作为一家成立不久的私募股权投资机构,在发展中也面临着风险管理方面的问题,本文期望对A私募基金公司在股权投资业务中存在的风险问题进行分析、总结和归纳,然后提出针对A私募基金公司的风险管理措施,进而提升A私募基金公司的整体风险管理能力。本文首先对研究的背景、目的与意义、国内外研究现状、研究的主要内容、方法与技术路线进行了阐述,然后对A私募基金公司的主要业务流程及风险进行分析和对A私募基金公司投资环境及项目风险现状分析评价,并总结了A私募基金公司在股权投资业务中面临的风险因素和问题,主要包括信息不对称带来的投资风险、被投资企业经营业绩达不到预期的风险、项目退出过程中的不确定性产生的风险和对目标企业缺乏持续有效的监督。针对上述风险问题,本文提出了相关的风险控制措施,包括采取多种方式对被投资企业进行风险控制、多角度核实被投资企业业绩、基于契约设定自我保护条款、实行贯穿投资全过程的风险控制。同时本文也提出了相关的保障措施,包括A私募基金公司应建立和完善风险控制的组织保障、加强企业文化建设保障和建立人才保障机制等三个方面做好保障措施。
[Abstract]:With the rapid development of China's economy, the capital market is growing with the needs of the market. At present, the financing demand of many small and medium-sized enterprises in our country is increasingly strong, various financing channels are also emerging, private equity investment industry has been developed in this situation. Private equity investment is a relatively new industry in our country, and the development time is relatively short. Therefore, many private equity firms are in the exploratory stage in the field of business development, and the industry policy and legal system is not perfect. It makes private equity firms face greater risks in business development. A Private equity firm, as a newly established private equity investment institution, also faces problems in risk management in its development. This paper looks forward to analyzing, summarizing and summarizing the risk problems existing in the equity investment business of A private equity fund company, and then putting forward the risk management measures for A private equity fund company. Then enhance A private fund company's overall risk management ability. In this paper, the background, purpose and significance of the research, the current situation of the research at home and abroad, the main contents, methods and technical routes of the research are described. Then it analyzes the main business process and risk of A private equity company and analyzes and evaluates the investment environment and project risk status of A private equity fund company. And summarizes the risk factors and problems faced by A private equity company in the equity investment business, mainly including the investment risk brought by asymmetric information, the risk that the business performance of the invested enterprise can not reach the expected risk. The risks arising from the uncertainty in the process of project exit and the lack of continuous and effective supervision over the target enterprises. In view of the above risk problems, this paper puts forward the relevant risk control measures, including taking various ways to control the risk of the invested enterprises, verifying the performance of the invested enterprises from various angles, and establishing self-protection clauses based on the contract. Implement risk control throughout the investment process. At the same time, this paper also put forward the relevant safeguard measures, including A private fund company should establish and perfect the risk control organization guarantee, strengthen the enterprise culture construction safeguard and establish the talented person safeguard mechanism to do the safeguard measure.
