中国企业跨国并购的技术整合研究

【摘要】：近年来随着中国市场经济的繁荣发展,中国企业积极融入经济全球化,越来越多的企业将跨国并购作为开拓国际市场、获取资源、提升自身技术能力的重要途径。在2016年中国已经成为当之无愧的跨国并购第一大国,其中以寻求技术为动因的并购所占的比例越来越高。在知识创造核心利润的的时代,技术创新越来越成为一个企业的竞争优势所在。但是在企业的海外技术并购浪潮中,能够成功实现技术整合、消化吸收对方技术知识的企业却是屈指可数。本文以技术整合为分析视角,采用理论论述和案例分析相结合的方法,重点分析了企业跨国并购的技术整合过程,而且采用对比分析的方法深入分析了上汽和吉利的海外并购技术整合措施,并提出了相关建议。本文的第一部分是介绍了所选题目的背景以及相关的文献,提出了本文的研究框架和方法;第二部分则是阐述了跨国并购与技术整合的概念,着重介绍了技术整合的含义,并指出技术整合的最终目的地获取技术能力,实现技术创新;第三部分主要分析了中国企业海外并购的技术整合现状,指出了目前存在的问题;第四部分重点阐述了技术整合的过程,首先分析了技术整合过程中面临的风险因素,紧接着着重分析了技术整合的三个阶段:技术选择、技术转移、技术重构阶段;第五部分则是基于以上的理论分析,对吉利并购沃尔沃和上汽并购双龙并购事件的技术整合过程进行深入分析,总结出上汽失败的原因;第六部分则是围绕以上案例分析,提出了相关的建议。
[Abstract]:In recent years, with the prosperous development of China's market economy, Chinese enterprises actively integrate into economic globalization. More and more enterprises take transnational M & A as an important way to open up international market, acquire resources and improve their own technical ability.In 2016, China has become the largest country in cross-border M & A, in which technology-driven M & A accounts for a growing proportion.In the era of knowledge creating core profits, technological innovation has become the competitive advantage of an enterprise.However, in the wave of overseas technology merger and acquisition, few enterprises can successfully realize technology integration and absorb the other side's technical knowledge.From the angle of view of technology integration, this paper analyzes the process of technology integration of transnational M & A by using the method of combining theory discussion with case analysis.In addition, the comparative analysis method is used to analyze the technical integration measures of overseas M & A between SAIC and Geely, and the relevant suggestions are put forward.The first part of this paper is to introduce the purpose and background of the topic and related literature, put forward the research framework and methods of this paper, the second part is to elaborate the concept of cross-border M & A and technology integration, focusing on the meaning of technology integration.The third part mainly analyzes the status quo of technology integration of Chinese enterprises in overseas mergers and acquisitions, and points out the existing problems.The fourth part focuses on the process of technology integration, first analyzes the risk factors in the process of technology integration, and then analyzes the three stages of technology integration: technology selection, technology transfer, technology reconstruction;The fifth part is based on the above theoretical analysis, in-depth analysis of Geely merger and acquisition of Volvo and SAIC Ssangyong mergers and acquisitions of the process of technological integration, summed up the reasons for SAIC failure; the sixth part is around the above case analysis.Some suggestions are put forward.
